FRA approves CIRA’s bid for 90% of Cairo Educational Services

Good afternoon, friends, and congratulations on making it to the weekend. The news cycle is taking a breather, and we’ve got a brisk issue for you to end the workweek.

? REMEMBER- We’re in for a shorter-than-usual workweek next week. Employees in the public sector and the banking sector are set to receive a paid holiday on Thursday, 4 September in observance of Prophet Muhammad’s birthday, according to separate statements by the cabinet and the Central Bank of Egypt. We're still on the lookout for a similar announcement for the private sector.

THE BIG STORY TODAY-

CIRA Education’s bid to raise its stake in Cairo Educational Services (CAED) to 90% secured Financial Regulatory Authority (FRA) approval, clearing the way for a mandatory tender offer (MTO) to buy up to 20.6% of the company, or 2.47 mn shares, at EGP 32.7 a share, according to a bourse bulletin. This would value the transaction at EGP 80.8 mn according to our math. The regulator said CIRA has two days to publish the MTO. We reported earlier that CIRA plans to keep CAED listed on the exchange if the MTO goes through.

ADVISORS- Our friends at EFG Hermes are acting as broker, while Matouk Bassiouny & Henawy is providing counsel on the transaction.

ALSO- Raya Holding submitted a draft MTO to increase its interest in Raya Customer Experience (Raya CX) to 90% from 60.8%, according to a bourse disclosure (pdf) by the regulator. The offer is pitched at EGP 7.5 per share, top of the initial range, valuing RCX at EGP 1.54 bn. The FRA noted the filing is still under review. If approved, the move would give Raya Holding near-total ownership of the outsourcing company, which could open the door to a delisting further down the line.

THE BIG STORY ABROAD-

It’s a relatively quiet afternoon in the business press, with Microsoft under the spotlight. Two Microsoft employees were fired after breaking into its President Brad Smith’s office for a sit-in protest over the tech giant’s ties to Israel amid escalating attacks on Gaza. The two employees fired were among seven who participated in the sit-in — five of whom were former employees.

“These incidents are inconsistent with the expectations we maintain for our employees,” a spokesperson for Microsoft said. The news follows Microsoft reportedly enlisting the aid of the FBI to track down internal protesting, following a rise in executive-targeted activism. Earlier this month, The Guardian reported that Israel used Microsoft’s Azure cloud platform to store phone calls made by Palestinians in a mass surveillance campaign. (CNBC | Reuters | Verge)

AI investors are navigating ambiguity

? AI investors are treading murky waters with an uncertain future ahead. Stakeholders are elated over the prospects of AI, with many seemingly underestimating the unpredictability of the technology. Concerns have been piling up about an AI bubble that could burst. With so much money flowing into startups and companies, will AI meet financial expectations?

Investors seem to be charging towards a profitable AI future faster than the technology itself can keep up, with expectations that large language models will reach full potential and develop the long-awaited superintelligence — or Artificial General Intelligence (AGI). Just in the first half of 2025, 50% of venture capital was spent on AI startups, according to Business Insider.

Investors are “overexcited” about AI, with many risking enormous loss, OpenAI CEO Sam Altman predicts. At the time of making these claims, OpenAI had just valued itself at more than USD 500 bn, with a USD 6 bn deal from investors like Softbank and Thrive Capital, according to CNBC. With the exception of big companies like OpenAI, it seems AI is not making huge returns on investment as promised, with only 5% of companies that embraced agentic AI seeing returns, a recent MIT study showed.

Why is the AI world so unclear right now? According to General Catalyst CEO HemantTaneja, the unpredictability stems from the models themselves. As the models keep getting smarter, the applications and infrastructures that they’re built on are rendered obsolete. It’s hard to discern which models are sustainable — and in turn, where to invest. Taneja references the now-obsolete companies that were funded when GPT-3 launched because GPT-4 superseded its functionalities.

Current valuations are fitting within the large landscape of AI. Investors in AI like Meta, Google, Amazon, and Microsoft are not taking huge risks when pouring their money into startups or AI data centers. AI companies now boast considerable earnings and strong cashflows that can sustain losses, according to ARS Technica. This is why the AI bubble could only witness a gradual deflation as long-term impact begins to manifest, rather than a sudden pop.

Taneja, however, also remains optimistic, predicting that much of AI development will spring from the service business companies he’s currently investing in, and their own transformations with AI. He also predicts the Mergers and Acquisitions market will be an interesting one for AI companies.

ON THE TUBE TONIGHT

Revisiting classics: 1998 family drama Stepmom

? Nothing says Thursday night in quite like a cinematic blast from the past. This week, we’re kicking off our indoor weekend activities by watching the 1998 classic family drama Stepmom. Starring Julia Roberts, Susan Sarandon, and Ed Harris, Stepmom follows a dysfunctional family as it attempts to put itself back together, not knowing that disaster is about to strike.

What’s this family up to? Jackie (Sarandon) and Luke (Harris) have been divorced for quite a few years, and their kids — Anna and Ben — aren’t fans of Luke’s new partner, Isabel (Roberts). Yet, Jackie begins to encourage a relationship between her kids and their father’s partner — an unusual dynamic, yet a necessary one. You see, Jackie has terminal cancer, and she wants to make sure her children have a mother figure in their lives once she’s gone.

Tough shoes to fill: As Jackie comes to terms with her diagnosis, she begins warming up to Isabel, whom she initially resented. Jackie shows Isabel all the ropes, and lets her in on her children’s lives. The pair could not be more different — one a fashion photographer, and the other a stay-at-home mom — yet they’re brought together over their love for Anna, Ben, and Luke.

Ain’t no mountain high enough. As the truth comes out and the family is faced by the harsh reality, Jackie’s final efforts are turned towards her children, spending whatever time she has left in their company. This leaves for a series of heartwarming and heartshattering scenes, laden with uncomfortable tear-inducing conversations. From Karaoke nights singing Marvin Gaye with her son to late night horseback riding sessions with her daughter, Stepmom is an emotional supernova.

From the dialogue to the cinematography, the film is a masterpiece — and one that does not get its flowers as often as it should. It’s not a sappy drama nor an unrealistic one. The 1998 film is raw, honest, and unapologetic. No truth is sugarcoated, and the grief feels genuine. Among our favorite ‘90s movies, Stepmom is one we find ourselves coming back to time and time again, and one you should check out if you haven’t before.

Yet another sports-packed weekend awaits us

No matches today as we gear towards a sports-packed weekend in the Nile League and the third round of the Premier League on Saturday, as well as anticipated matchups in other European leagues.

The Nile League: Al Ahly is hosting Pyramids in a fifth-round match at Al Salam Stadium on Saturday at 9pm. The Red Devils are looking to solidify their position in the standings following a disappointing start with two draws and a single victory. Pyramids take the field after missing out on seven points in their first four rounds.

On the other hand, Fulham have eyes set on their first victory after earning two points from two draws.

Manchester United faces Burnley at Old Trafford on Saturday at 5pm. Man United is looking to make up for a rough start to the season following a loss and a draw in the first two rounds, with coach Ruben Amorim vying for his first victory.
