Good morning, friends. <\/strong>We\u2019re nearing the end of the week and the news cycle is still quiet by UAE standards, but we have two big stories worth your attention this morning: Adnoc is launching a low-carbon energy and chemicals investment firm, and Talabat just increased the size of its IPO to make it the biggest so far this year. <\/p>\n

\u26c8\ufe0fWEATHER- Expect partly cloudy and dusty conditions across the country<\/strong>, along with a significant drop in temperatures, according to the National Center of Meteorology (pdf)<\/a>. There\u2019s a chance of showers and thunderstorms in Dubai, according to our favorite weather app. The mercury in Dubai will hit 28\u00b0C, with an overnight low of 25\u00b0C, while temperatures will hit 28\u00b0C in Abu Dhabi, with an overnight low of 24\u00b0C.<\/p>\n

WATCH THIS SPACE- <\/p>\n

<\/a> #1- No word yet on the Covestro takeover: <\/strong>Shareholders\u2019 acceptance period for Adnoc\u2019s voluntary public takeover offer bid for Covestro should have wrapped yesterday, though an extension of two weeks \u2014 to 16 December \u2014 was also on the table. Covestro\u2019s management already gave the offer a nod<\/a> earlier this month, with closing not expected before 2H 2025. <\/p>\n

Refresher: <\/strong>Adnoc has been in ongoing negotiations for the takeover, which is set to be the biggest acquisition from a Middle Eastern buyer in Europe in 16 years, for more than a year. The oil giant will acquire Covestro for EUR 14.7 bn (c. USD 16.3 bn), which includes EUR 3 bn in debt. It plans to purchase EUR 1.17 bn worth of new shares from Covestro as part of a 10% capital increase<\/p>\n

<\/a> #2- Adnoc, Emirates NBD among companies signing onto pledge to hire more women<\/strong> in management: <\/strong>Several key private sector players signed the UAE Gender Balance Council\u2019s Gender Equality Acceleration Pledge to have 30% of middle and senior management roles occupied by women by 2028 at the Global Women\u2019s Forum in Dubai, Wam<\/a> reports. Key signatories include: Adnoc, Al Futtaim Ikea, CSO Network, Emirates NBD, Tristar Group, International Advisory Group, and Mediclinic Middle East. <\/p>\n

The details:<\/strong> The pledge also outlines actionable steps such as equal pay initiatives, equitable recruitment practices, and mentorship programs, with a requirement to report progress to the council every year. <\/p>\n

REMEMBER- <\/strong>Private companies are required<\/a> to reserve at least one seat for women on their boards of directors starting January 2025 under a recent decision from the Economy Ministry. The Securities and Commodities Authority made it mandatory for listed companies to have at least one woman on their board in 2021.<\/p>\n

<\/a> #3- Amanat Holdings has tapped SNB Capital to run its IPO of a 30% stake in its education unit in Riyadh in 1H 2025<\/strong>, Reuters<\/a> reports, citing two sources familiar with the matter. The IPO could raise some USD 300 mn. <\/p>\n

We knew this was coming: <\/strong>The company said in May<\/a> that it plans to carve out its education platform into its own holding company and tap advisors to list it on a GCC stock exchange, without identifying where it would list it or the size or value of the potential stake sale. Amanat had also reportedly tapped EFG Hermes and First Abu Dhabi Bank for a listing of its healthcare unit as soon as this year that could potentially raise some USD 200 mn.<\/p>\n

ALSO- <\/strong>Another retail firm is set to debut on the ADX before mid-December<\/strong>, Zawya<\/a> reports, citing an anonymous source. More information on offering and pricing will be revealed next week, the source said. <\/p>\n

We already knew another listing was coming<\/strong>, after ADX\u2019s CEO Abdullah Salem Al Nuaimi said earlier this month<\/a> that the Abu Dhabi bourse is set to see another listing this year.<\/p>\n

<\/a> #4- Commercial gaming operator The Game launched the UAE\u2019s first regulated <\/strong>lo<\/a><\/strong>ttery<\/a><\/strong> featuring a AED 100 mn Lucky Day jackpot, Khaleej Times<\/a> reports. The company was awarded the UAE\u2019s first lottery license<\/a> from the General Commercial Gaming Regulatory Authority in July. The inaugural draw of the lottery will take place on 14 December.<\/p>\n

The UAE has been working on regulating the gaming sector: <\/strong>The authority awarded<\/a> the country\u2019s first commercial gaming operator's license to casino operator Wynn Resorts in October. AstraTech\u2019s subsidiary PayBy also secured a license from the General Commercial Gaming Regulatory Authority last week<\/a> to offer financial services to licensed commercial gaming operators in the UAE. <\/p>\n

#1- President Sheikh Mohamed bin Zayed Al Nahyan pardoned 2.3k inmates <\/strong>across <\/strong>the UAE<\/strong> and pledged to cover their fines in conjunction with Eid Al Etihad, Wam<\/a> reports.<\/p>\n

#2- Pakistani nationals are now required to <\/strong>submit<\/strong> a police character certificate to obtain employment visas<\/strong>, a new requirement from the UAE Bureau of Emigration, Pakistani newswire The Express Tribun<\/a>e<\/a> reports. <\/p>\n

#1- <\/strong>Livable Cities X<\/a><\/strong> is on its third and final day<\/strong> at the Dubai World Trade Center. The newly-minted ceasefire agreement between Israel and Hezbollah in Lebanon is still <\/strong>making the rounds<\/strong> in the international press this morning. Reuters<\/a> and the New York Times<\/a> are focusing more on how the past year of warring with Israel left Hezbollah with many of its top brass \u2014 and hundreds or thousands of its soldiers \u2014 dead, giving the group a \u201clong road to recovery.\u201d Bloomberg<\/a> also has the story.<\/p>\n

MEANWHILE-<\/strong> The French government will not abide by the International Criminal Court\u2019s arrest warrant for Israeli Prime Minister Benjamin Netanyahu, with Paris justifying its position by saying that Israel is not a member of the court. The statement from France came on the back of Netanyahu accepting the ceasefire agreement with Hezbollah, which France and the US brokered.
