Brookfield to acquire a majority stake in Dubai\u2019s Gems:<\/strong> A consortium led by Canadian asset manager Brookfield<\/a> entered into a binding agreement to purchase a majority stake in Dubai-based private school provider Gems Education<\/a> from a consortium led by buyout firm CVC Capital Partners<\/a> for an undisclosed sum, according to a CVC statement<\/a>. Dubai-based Gulf Islamic Investments<\/a> (GII), Marathon Asset Management<\/a>, and Azerbaijan\u2019s State Oil Fund are all joining Brookfield in investing in Gems Education, according to a statement (pdf)<\/a>.<\/p>\n

REMEMBER- The transaction could be <\/strong>valued at some USD 2 bn<\/a><\/strong> and is expected to target expanding Gems\u2019 portfolio by undertaking new acquisitions. If closed for USD 2 bn, the stake acquisition would mark one of \u201cthe largest private equity [transactions] in a closely held business in the Gulf,\u201d Bloomberg previously reported. <\/p>\n

The details:<\/strong> A group of Emirati lenders is helping finance the transaction by funding the repayment of the company\u2019s existing obligations. CVC, which acquired 30% of Gems for USD 1 bn in 2019, will retain a stake in the company, while existing minority shareholders, including Malaysia\u2019s sovereign wealth fund Khazanah Nasional Berhad<\/a>, will completely exit the education firm. <\/p>\n

Timeline: <\/strong>The transaction is expected to be completed in 3Q 2024, subject to certain conditions being met by the Brookfield consortium by late June 2024.<\/p>\n

Brookfield\u2019s acquisition draws the curtain on Gems\u2019 hunt for partners:<\/strong> Brookfield\u2019s investment follows two years<\/a> of Gems Education mulling going public and inviting investors to bid for CVC\u2019s stake, with talks with wealth fund ADQ and state-backed real estate developer Aldar to buy a stake valued at USD 6 bn falling through<\/a> last year.<\/p>\n

CVC will maintain its presence in the region: <\/strong>While Gems was CVC\u2019s first equity investment in the Middle East, the asset manager\u2019s stake sale will not see CVC exit the region, as it \u201c[remains] fully committed to investing further in this attractive region,\u201d said CVC Strategic Opportunities Managing Director Osama Nahhat.<\/p>\n
