Financially, the transaction is projected to enhance GulfNav\u2019s revenue streams and improve EBITDA margins over the next few years. The firm aims to close the transaction before the end of 3Q 2025.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>How they\u2019re paying for it:<\/strong><\/p>\n<ul>\n<li>Some 358.8 mn <strong>new shares<\/strong> will be issued to Brooge at AED 1.25 each, with a one-year lock-up;<\/li>\n<li>AED 2.3 bn in <strong>convertible bonds<\/strong> issues to Brooge, also at AED 1.25 per share;<\/li>\n<li>AED 500 mn in <strong>bonds<\/strong> offered to GulfNav shareholders at a slightly lower AED 1.10;<\/li>\n<li>as well as AED 460 mn in-cash.<\/li>\n<\/ul>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>ADVISORS -<\/strong> Gulf Navigation appointed Trussbridge Advisory (DIFC) as its exclusive financial advisor, and Pinsent Masons as its lead counsel.
