Agility will be able to begin drawing down up to EUR 1 bn within a few weeks, according to the statement. <\/span><\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><span style=\"font-weight:700\">The details:<\/span><span style=\"font-weight:400;\"> As the equity collar agreement is funded, this will provide the company with EUR 1 bn of relatively \u201ccheaper liquidity,\u201d which in turn will strengthen Agility's balance sheet, the statement said. The collar agreement will be accounted as a fair value hedge, and be reflected in Agility's financial statements at fair value through comprehensive income. <\/span><\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><span style=\"font-weight:700\">Background: <\/span><span>Agility is DSV\u2019s second largest shareho<\/span><span>lder, with an 8.8% stake<\/span><span> in the company. The logistics giant purchased the stake when it sold its subsidiary, <\/span><span>Global Integrated Logistics (GIL), to DSV in an all-share agreement in <\/span><span style=\"text-decoration-skip-ink:none;-webkit-text-decoration-skip:none;\"><a href=\"https:\/\/www.dsv.com\/en\/about-dsv\/press\/news\/com\/2021\/08\/dsv-panalpina-as-completes-dkk-302-billion-acquisition-of-global-integrated-logistics-from-agility\" style=\"\">2021<\/a><\/span><span style=\"font-weight:400;\">. <\/span><\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><span style=\"font-weight:700\">SOUND SMART- <\/span><span style=\"\">A collar agreement is a form of derivative where the investor <\/span><span style=\"text-decoration-skip-ink:none;-webkit-text-decoration-skip:none;\"><a href=\"https:\/\/www.investopedia.com\/articles\/optioninvestor\/08\/protective-collar-bullish-collar.asp\" style=\"\">sells<\/a><\/span><span style=\"text-decoration-skip-ink:none;-webkit-text-decoration-skip:none;\"><a href=\"https:\/\/www.investopedia.com\/articles\/optioninvestor\/08\/protective-collar-bullish-collar.asp\" style=\"\">a call option on a long stock position and buys a protective put<\/a><\/span><span style=\"font-weight:400;\"> option at the same time. It protects against downside risk in share price by creating a range of values (the \u201ccollar\u201d) within which the asset can trade during a specific time period.<\/span><\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><span style=\"font-weight:700\">The rationale: <\/span><span style=\"font-weight:400;\">\u201cGiven continued market uncertainty and the significance of the DSV stake on Agility\u2019s overall value, Agility has undertaken this hedging transaction to protect the value of the investment and the shareholders\u2019 value,\u201d according to the statement. The derivative does not \u201cimply that the company is selling its DSV shares,\u201d it said, adding that it will enable Agility to \u201cbenefit, to some extent, from the increase in the rise in DSV share price, while at the same time limiting the impact of a possible decline in DSV stock price in the future within the agreed limits.\u201d <\/span><\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><span style=\"font-weight:700\">ICYMI- <\/span><span style=\"text-decoration-skip-ink:none;-webkit-text-decoration-skip:none;\"><a href=\"https:\/\/www.agility.com\/en\/\" style=\"\">Agility\u2019s<\/a><\/span><span style=\"font-weight:400;\">net income fell 93% y-o-y to KWD 68 mn in FY 2022, after selling GIL.
