wrapped up its SAR 8.9 bn acquisition of a 51% stake in Telecoms Towers (Tawal) from Tadawul-listed <a target=\"_blank\" href=\"https:\/\/www.stc.com\/content\/stcgroupwebsite\/sa\/en\/who-we-are.html\" style=\"\" rel=\"noopener\">Saudi Telecom (STC)<\/a>, which is itself <a target=\"_blank\" rel=\"noopener\">majority-owned<\/a> by the sovereign wealth fund, according to <a target=\"_blank\" href=\"https:\/\/www.saudiexchange.sa\/wps\/portal\/saudiexchange\/newsandreports\/issuer-news\/issuer-announcements\/issuer-announcements-details\/?anId=85180&anCat=1&cs=7010&locale=ar\" style=\"\" rel=\"noopener\">a filing<\/a> to the exchange. The related party transaction saw STC transfer its ownership in Tawal to a third entity as part of a merger with PIF-backed <a target=\"_blank\" href=\"https:\/\/latis.com.sa\/\" style=\"\" rel=\"noopener\">Latis Golden Investment (GLIC)<\/a>. <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Quick figure: <\/strong>Tawal is valued <a target=\"_blank\" href=\"https:\/\/enterprise.news\/ksa\/en\/news\/story\/afbab00f-47c1-4acf-bfec-1f0741fcd95b\/\" style=\"\" rel=\"noopener\">at SAR 22 bn<\/a>, and GLIC is valued at SAR 3 bn \u2014 both valuations are excluding the companies\u2019 cashflow and debt obligations.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Dialing up a new telecom giant: <\/strong>The merger will trigger the launch of a new regional telecom infrastructure entity, under which all of PIF\u2019s telecoms assets (comprising some 30k telecom towers across five countries) will be consolidated. The new entity will have annual revenues in the USD 1.3 bn range, according to <a target=\"_blank\" href=\"https:\/\/www.pif.gov.sa\/en\/news-and-insights\/press-releases\/2024\/pif-and-stc-group-sign-definitive-agreements-to-form-regions-largest-telecom-tower-company\/\" style=\"\" rel=\"noopener\">an earlier statement<\/a> by the fund. <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Who owns what: <\/strong>The new entity is 54.38% owned by the PIF, with STC set to retain a 43.06% stake after injecting some SAR 128.37 mn into it. Prince Saud bin Fahd bin Abdulaziz and Sultan Holding were each given a 1.28% stake in the new entity. <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>A share swap + cash settlement: <\/strong>In April 2024, the pair said the acquisition would be done by means of a share swap where STC along with the minority owners of Glic will get ownership shares in the new entity. That is in addition to a SAR 8.7 bn capital injection to STC which it plans to use to finance its \u201cgrowth and expansion strategy along with maximizing its shareholders\u2019 return.\u201d<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>This has been in the works since 2022:<\/strong> A PIF consortium bought <a target=\"_blank\" href=\"https:\/\/www.zain.com\/en\/press-release\/zainksa-pif\" style=\"\" rel=\"noopener\">a 60% stake<\/a> in Zain KSA\u2019s GLIC back in 2022 for SAR 3 bn, which landed the consortium a 60% majority stake in the telecom towers company. Nearly half of all MENA market IPOs in 4Q (11 out of 25) offered a free float exceeding 30% of their share capital, signaling strong investor appetite. <\/p>\n<p class=\"tag-border-left\">TOP PLAYERS- <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Saudi Arabia topped the IPO league table in terms of volume: <\/strong>The Kingdom saw the highest number of listings in 4Q 2024 with 17 IPOs \u2014 five of which were on the main market \u2014 locking in USD 1.2 bn in proceeds. <a target=\"_blank\" href=\"https:\/\/enterprise.news\/ksa\/en\/news\/story\/256b38fb-8dec-4f61-9e6b-8760d56b0f4f\/%253cmark%253earabian-mills%253c%2Fmark%253e-dips-on-tadawul-debut\" style=\"\" rel=\"noopener\">Arabian Mills<\/a> and <a target=\"_blank\" href=\"https:\/\/enterprise.news\/ksa\/en\/news\/story\/d6f516d4-56d5-4019-8bf1-e65c3966f6c4\/%253cmark%253eunited-international%253c%2Fmark%253e-holding-begins-trading-on-tadawul-today\" style=\"\" rel=\"noopener\">United International Holding<\/a> raised the most proceeds in the Kingdom in 4Q at USD 300 mn each. Meanwhile, the DFM only saw one big-ticket listing in 4Q, which raised more proceeds than all of the ADX\u2019s combined proceeds for the period \u2014 Talabat Holding\u2019s USD 2 bn IPO. <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Meanwhile in Egypt: <\/strong>CBE-owned United Bank was the only company <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/c086b524-6ef6-49ed-bfb6-8a538ad83b83\/%253cmark%253eunited-bank%253c%2Fmark%253e%25e2%2580%2599s-retail-tranche-59x-oversubscribed-as-subscription-period-closes\" style=\"\" rel=\"noopener\">to hit the EGX in 4Q 2024<\/a>, out of a total of two IPOs in the country throughout the year. The move marked the first public offering of a state-owned bank in over a decade and the first for any state-owned entity since 2021, as part of a broader privatization push. <\/p>\n<p class=\"tag-border-left\">THE OUTLOOK- <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>What\u2019s in the pipeline this year? <\/strong>A total of 38 companies and 22 funds are planning to list across various exchanges in the region this year, signaling continued investor confidence in MENA markets. Saudi Arabia is set to lead the charge with 26 upcoming IPOs, followed by the UAE (3 IPOs), Qatar (1 IPO), Egypt (5 IPOs), and Algeria (2 IPOs).
