VanEck International Investors portfolio manager Joe Foster <a href=\"https:\/\/www.reuters.com\/article\/us-centamin-endeavour-mining\/top-shareholder-urges-miner-centamin-to-seek-takeover-offer-date-extension-idUSKBN1YN2TN\">told Reuters<\/a> on Friday that Centamin should accept a request to extend the deadline for Endeavour to submit a second merger bid. \u201cYou have to be realistic. These are big, complicated projects. It takes a while to understand them, so I would hope that they would extend the deadline,\u201d Foster told the newswire. Foster\u2019s VanEck is said to be the third-largest shareholder of Endeavour and the second-largest of Centamin.<\/p>\n<p><strong>The latest: <\/strong>Endeavour said on Thursday that it has little time to study Centamin\u2019s assets, which only include the Sukari gold mine and Cleopatra project in Egypt, before a 31 December \u201cput up or shut up,\u201d deadline imposed on it under UK merger law comes to pass. \u201cEndeavour continues to believe in the strategic merits of the combination.. and therefore urges Centamin to request that the Takeover Panel consents to an extension of the current [deadline] period to January 31, 2020,\u201d reads <a href=\"https:\/\/www.endeavourmining.com\/news-releases\/press-release-details\/2019\/Endeavour-Responds-to-Centamin-Press-Release\/default.aspx\">a press release<\/a> by the Toronto-listed miner.<\/p>\n<p><strong>Previously on the saga: <\/strong>Thursday\u2019s statement was in response to claims <a href=\"https:\/\/enterprise.press\/stories\/2019\/12\/19\/centamin-says-endeavour-refusing-to-cooperate-on-value-study-8762\/\">last week<\/a> by Centamin that Endeavour is refusing to share information for a reciprocal due diligence exercise that leaders of both companies agreed to conduct in a meeting <a href=\"https:\/\/enterprise.press\/stories\/2019\/12\/17\/centamin-accepts-endeavours-due-diligence-offer-8546\/\">last Monday<\/a>. Unless its wish to extend the deadline is granted, Endeavour will refuse to go ahead with the due diligence proposal, Centamin said at the time. All of this came <a href=\"https:\/\/enterprise.press\/stories\/2019\/12\/04\/centamin-rejects-usd-1-9-bn-endeavour-merger-proposal-7709\/\">some two weeks<\/a> after Centamin rejected an all-share merger bid from Endeavour, triggering the deadline.<\/p>\n<p><strong>VanEck isn\u2019t the only one who wants this to work: <\/strong>When Centamin\u2019s board unanimously rejected the bid earlier this month, Naguib Sawiris\u2019 La Mancha \u2014 the largest shareholder in Endeavour \u2014 <a href=\"https:\/\/ent.news\/2019\/12\/1318.pdf\">was out with a statement (pdf)<\/a> \u201cstrongly\u201d urging it to reconsider. The Egyptian government also \u201cwelcomed\u201d the prospect of the merger and said it would be happy to see it materialize, especially that the government is paving the way for a more accommodative mining sector through in-the-works amendments to the <a href=\"https:\/\/enterprise.press\/stories\/2019\/12\/15\/mineral-resources-act-exec-regs-should-come-out-this-month-8437\/\">Mineral Resources Act<\/a> that received praise from industry watchers.<\/p>\n<p><strong>Background:<\/strong> Centamin\u2019s board rejected Endeavour\u2019s initial on the grounds that it would disproportionately benefit Endeavour\u2019s shareholders. The Candian miner offered to exchange 0.0846 of its shares for every Centamin share, valuing the latter\u2019s share capital at around USD 1.9 bn.
