merger: <\/strong>Orascom Construction and <a target=\"_blank\" href=\"https:\/\/oci-global.com\/\" style=\"\" rel=\"noopener\">OCI Global<\/a> \u2014 both backed by Egyptian bn\u2019aire Nassef Sawiris \u2014 are exploring a potential merger that would combine the Cairo-born contractor and the Dutch-listed fertilizer player to create a single global infrastructure and investment platform based out of and listed in Abu Dhabi, according to a <a target=\"_blank\" href=\"https:\/\/ent.news\/2025\/9\/1287.pdf\" style=\"\" rel=\"noopener\">joint statement (pdf)<\/a>. Sawiris flagged in <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/43def9e6-cf20-4971-9508-8d1e11becc17\/brazilian-president-lula-is-meeting-el-sisi-later-today\" style=\"\" rel=\"noopener\">in February 2024<\/a> that he was weighing a full overhaul of OCI.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The pitch: <\/strong>The idea is to bring together Orascom Construction\u2019s USD 14 bn backlog of projects and strong track record in execution with OCI\u2019s expertise in managing investments and allocating capital. Together, they\u2019d have the balance-sheet muscle to take on major infrastructure projects \u2014 to be financed through equity and credit. The partnership would target sectors ranging from digital and aviation to power, water, and transport, with projects spanning the US, Egypt, the GCC, and Europe.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The proposal would see ADX- and EGX-listed Orascom Construction absorb OCI Global<\/strong>, which will, in turn, liquidate and delist from Euronext Amsterdam. Sawiris owns <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/2da40d0a-a130-405e-8e46-8ca1ee17d738\/%253cmark%253eoci%253c%2Fmark%253e-sells-blue-ammonia-project-for-usd-2.4-bn.-plus:-news-from-valu,-karmsolar,-i-score\" style=\"\" rel=\"noopener\">38.8% of OCI Global<\/a> as of August 2024 and 42.4% of Orascom as of January. A KPMG audit found that OCI and Orascom together have generated more than USD 22 bn in dividends since 1999, delivering a 39% IRR across cycles.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Transaction mechanism:<\/strong> Under the agreement, OCI shareholders will swap their stock for newly-issued shares in Orascom Construction at a ratio that will be decided after the parties wrap up due diligence and agree on fair value. The move is still subject to board and shareholder, and regulatory approvals.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>What Sawiris said: <\/strong>Sawiris framed the merger as a way to pivot from fertilizers and chemicals toward global infrastructure, leveraging Orascom\u2019s project-delivery record and the more than USD 1 bn in proceeds sitting on OCI\u2019s balance sheet. \u201cWe want to focus the next stage of our business on the area we see the biggest opportunity, which is infrastructure,\u201d Sawiris told the <a target=\"_blank\" href=\"https:\/\/www.ft.com\/content\/c815e476-fce9-4cd3-b5a4-f5a55fe7aa49\" style=\"\" rel=\"noopener\">Financial Times<\/a>. Sea level rises will also come alongside a rise in the scarcity of water suitable for drinking and agriculture. The region is expected to see its GDP suppressed by 6-14% by 2050 on the back of water stress.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>About one third of Egyptians could see their jobs affected by AI <\/strong>\u2014 a comparatively small proportion, according to the report. With high-grade spreads over Treasuries also dipping to their narrowest since the late 1990s, investors are shifting to private markets that can still deliver 150-200 bps more than traded debt.<\/p><p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Private markets have been front and center in recent months. <\/strong>Wealthy individuals poured <a target=\"_blank\" href=\"https:\/\/enterprise.news\/uae\/en\/news\/story\/df073aa4-2a71-4474-a9bf-213037588dcb\/wealthy-investors-pile-into%253cmark%253e-private%253c%2Fmark%253e-credit\" style=\"\" rel=\"noopener\">USD 48 bn<\/a> into US private credit funds in 1H 2025 \u2014 on track to beat last year\u2019s total \u2014 as institutions pulled back. BlackRock also flagged infrastructure and private credit among the few areas still offering attractive returns as traditional anchors weaken in its <a target=\"_blank\" href=\"https:\/\/enterprise.news\/uae\/en\/news\/story\/df71fd0c-9b4d-44ff-88c8-de07b761ae4f\/blackrock-stays-pro-risk\" style=\"\" rel=\"noopener\">latest outlook<\/a>.<\/p><p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Blackstone\u2019s take:<\/strong> \u201cWe see excess spread in private credit. That\u2019s a really attractive thing for our clients around the world,\u201d Zawadzki said. He expects sovereign wealth funds, pensions, and Asia-based insurers \u2014 where allocations remain around 5% \u2014 to drive flesh inflows.<\/p><p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>T<\/strong><strong>he private credit market could swell to USD 30 tn<\/strong>, up from about USD 2 tn today, Blackstone predicts, with much of the growth in asset-based finance and private investment-grade lending. Data center buildouts for AI are also a key driver, with JPMorgan estimating some USD 150 bn of permanent financing will be required for US facilities in 2026-27. A revival in M&amp;A is also seen as a near-term catalyst for new lending.<\/p><p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Not everyone is convinced. <\/strong>DoubleLine\u2019s Jeffrey Gundlach has warned of \u201coverinvestment,\u201d arguing private credit has thrived in a strong economy and will be tested in a downturn. The US, under Donald Trump\u2019s presidency, also <a target=\"_blank\" href=\"https:\/\/enterprise.news\/climate\/en\/news\/story\/7bd5b513-6fd3-4e90-af48-43c0c4fadafb\/\" style=\"\" rel=\"noopener\">pulled the plug<\/a> on existing climate policy, alongside a withdrawal from the Paris Agreement and a <a target=\"_blank\" href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/01\/putting-america-first-in-international-environmental-agreements\/\" style=\"\" rel=\"noopener\">rollback on US financial commitments<\/a> to international climate agreements.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Egypt\u2019s target to generate 42% of its electricity from renewables by 2030 is at risk without greater international <\/strong><strong>support, promised climate finance, and technology transfer<\/strong>, Prime Minister Mostafa Madbouly <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/87b399ed-19f9-4ab0-a6f7-b1bcf5897fb8\/egypt-rejects-reports-it-asked-imf-to-up-its-next-loan-trance-by-an-extra-usd-700-mn\" style=\"\" rel=\"noopener\">warned<\/a> at COP29. He added that developing countries\u2019 climate commitments would remain \u201cink on paper\u201d if financing and support fall short.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The final figures aren\u2019t out yet, but the country\u2019s renewables share is expected to have <\/strong><strong><a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/fb85bbae-8f80-471f-87c7-8176bb9344d2\/\" style=\"\" rel=\"noopener\">reached 13.8%<\/a><\/strong><strong> during the last fiscal year<\/strong>, <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9c204253-74bf-4487-ae7d-62ae0cb51bb5\/breaking-down-the-new-cabinet%25e2%2580%2599s-green-goals\" style=\"\" rel=\"noopener\">up from 11.5%<\/a> a year earlier.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The state <\/strong><strong><a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/72a63194-e6d2-4d73-a263-7e0d1241c335\/\" style=\"\" rel=\"noopener\">aims<\/a><\/strong><strong> to raise renewables\u2019 share in the energy mix to 20% this fiscal <\/strong><strong>year<\/strong>, a government source told us last month. Some 12.7 GW \u2014 3.8 GW of solar and 8.9 GW of wind \u2014 are already in development, we were told.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>On the decarbonization front, Egypt will publish a renewables roadmap through 2030<\/strong>, according to the <a target=\"_blank\" href=\"https:\/\/ent.news\/2025\/9\/1125.pdf\" style=\"\" rel=\"noopener\">National Narrative for Economic Development (pdf)<\/a>. The roadmap will detail how it will work to achieve its climate targets, along with emission reduction targets aligned with Egypt\u2019s NDCs, with fines for non-compliance after a two-year grace period.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The Environment Ministry and the Egyptian-German Joint Committee have recently <\/strong><strong><a target=\"_blank\" href=\"https:\/\/www.facebook.com\/EGY.Environment\/posts\/pfbid02tbYwMvq5kkia2LhzRHEibtcXcKCaF6ypQK1EGi8dbJxha6Jn5c3mH5MAHo9MAMwPl?rdid=EIj0rNg7PPlhQjos#\" style=\"\" rel=\"noopener\">held<\/a><\/strong><strong> a coordination meeting to push forward climate cooperation<\/strong>, focusing on setting up climate change units across ministries, preparing sectoral action plans, and developing a digital tool to track progress on Egypt\u2019s NDCs.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>On the finance front, the Central Bank of Egypt will order banks to monitor and report their clients\u2019 <\/strong><strong>exposure to the EU\u2019s incoming Carbon Border Adjustment Mechanism (CBAM)<\/strong>, enforce a regulatory framework obliging banks to adopt environmental and social risk management systems, and add two new subprojects to the National Climate Strategy \u2014 one for adaptation and another for mitigation \u2014 with initial feasibility studies aimed at attracting private financing. By end-2025, further reforms and measures will be identified, with adoption targeted by June 2026, the narrative adds.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Regarding CBAM, a comprehensive study is underway to assess its impact on Egypt's <\/strong><strong>economy and export competitiveness.<\/strong> The analysis will encompass carbon intensity, export sensitivity, and sectoral effects on cement, steel, aluminum, fertilizers, electricity, and hydrogen across various domestic and international policy scenarios. The study is expected to evaluate regulatory frameworks, financial incentives, and carbon pricing tools to mitigate risks while ensuring continued access to export markets.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Authorities also issued three new decisions to structure the voluntary carbon market.<\/strong> The regulations cover accreditation requirements for verification and validation bodies under the Financial Regulatory Authority, standards for carbon credit registries licensed by the Carbon Regulatory Authority, and procedures for listing and canceling voluntary carbon credits. <\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>Further amendments introduce a licensing regime for carbon credit rating agencies<\/strong>, setting clear functions and regulatory requirements for their establishment and operation, aiming to add a layer of investor protection.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The IMF\u2019s Resilience and Sustainability Facility could also add a further USD 274 mn to <\/strong><strong>the total amount disbursed to us this fall<\/strong>, once the fifth and sixth reviews of our USD 8 bn Extended Fund Facility are approved, a source familiar with the talks between the two sides <a target=\"_blank\" href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/81f5a3c1-e386-43f1-b13c-8cdfa3089bab\/\" style=\"\" rel=\"noopener\">told<\/a> EnterpriseAM last week. The additional climate financing would come from the first two tranches of the roughly USD 1.2 bn program and bring the combined fifth and sixth review disbursals to USD 2.7 bn.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>But to get the extra funds, Egypt will have to make progress on four key climate-focused <\/strong><strong>reforms<\/strong> and eventually complete them by the end of the program. These include accelerating decarbonization, climate risk analysis and disclosure, strengthening financial sector resilience and climate finance, and measuring and disclosing climate impacts of investments.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>The government is also planning to adopt a system for assessing the environmental impacts of <\/strong><strong>major investments<\/strong>, which includes applying climate-related standards to all new projects worth over EGP 500 mn, and expanding the current asset registry pilot to cover the transport, housing, and utilities ministries, focusing on large public assets.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>A regulatory framework was also approved to implement and digitize the national <\/strong><strong>monitoring, reporting, and verification system<\/strong>, aligning with the Paris Agreement\u2019s transparency requirements. The framework covers at least three sectors \u2014 transport, electricity, and oil and gas \u2014 and was reinforced by a cabinet decision that establishes a database to track emissions and progress on the carbon market.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>On water security, the government plans to bring more private investment into water <\/strong><strong>infrastructure<\/strong>, with at least four projects being developed for private sector participation in line with the state ownership policy. At least two competitive PPP tenders are also expected for water infrastructure projects under the Housing and Utilities Ministry.<\/p>\n<p style=\"padding:0;margin:0;line-height:1.15;orphans:2;widows:2;text-align:left\"><strong>A National Water Council will also be established <\/strong>and will oversee the collection and publication of water demand and supply data by sector and region to guide allocation decisions by June 2026.
