welcome to day two of COP27 in Sharm El <\/strong><strong>Sheikh. <\/strong>The UN climate change summit is not the big story globally this morning \u2014 it\u2019s largely been edged off the front pages by the US midterm elections (voters head to the polls tomorrow), the prospect of layoffs at Facebook parent company Meta, and the ongoing drama at Twitter, as we note below.<\/p><p><strong>We expect COP to get more traction in the global business press later today <\/strong>when the world leaders\u2019 summit kicks off. In the meantime, we have a rundown in the news well (below) of yesterday\u2019s events and will continue wall-to-wall coverage in <a href=\"https:\/\/climate.enterprise.press\/\">Enterprise Climate<\/a> and this afternoon\u2019s EnterprisePM.<\/p><p><strong>President Abdel Fattah El Sisi will inaugurate the two-week conference around noon <\/strong><strong>today<\/strong> alongside UN Secretary-General Antonio Guterres and UN Framework Convention on Climate Change (UNFCCC) Executive Secretary Simon Stiell. The session is expected to start soon after 12pm CLT and be attended by heads of state and government from across the globe, according to <a href=\"https:\/\/ent.news\/2022\/11\/Daily_Programme_Sharm-el-Sheikh2022-OD-20221107-en.pdf\">the agenda (pdf)<\/a>.<\/p><p><strong>World leaders are set to line up at the microphone this afternoon:<\/strong> COP27 President Sameh Shoukry will open the first high-level session at 14:30, which will see heads of state give statements until 18.30. The planned move would be the first large-scale redundancies at the company since its launch in 2004, and could be the largest-ever at a major tech firm. The layoffs are expected to be smaller in percentage points than the ongoing <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/57492fc5-123c-46c8-bd4f-a0e62ddb399b\">layoffs at Twitter<\/a>, which will slash headcount by as many as half of its workforce.<\/p><p><strong>This comes during a tough year for the company<\/strong> that has seen its share price dive almost 75% amid unrest among investors about its spend on the metaverse and concerns about ad revenues.<\/p><p><strong>SIGN OF THE TIMES #2- Money is increasingly hard to come by on Wall Street (yes, <\/strong><strong>really):<\/strong> The rate of stock sales, bond offerings and mergers in the US hasn\u2019t been this slow in more than a decade amid tightening financial conditions, according to the <a href=\"https:\/\/www.wsj.com\/articles\/raising-money-on-wall-street-hasnt-been-this-hard-in-a-decade-11667730621\">WSJ<\/a>.<\/p><p><strong>HAPPENING TODAY-<\/strong><\/p><p><strong>The <\/strong><strong><a href=\"https:\/\/alex.technesummit.com\/2022\">Techne Summit<\/a><\/strong><strong> continues at the Bibliotheca Alexandrina<\/strong>, bringing together entrepreneurs and investors from various sectors in the Mediterranean region. drama: <\/strong>The agreement was hashed out during two days of fraught preliminary talks which saw the opening plenary session <a href=\"https:\/\/www.theguardian.com\/environment\/2022\/nov\/06\/cop27-delayed-start-tussle-over-agenda-for-talks\">delayed for hours<\/a>, with negotiators unable to agree on whether to put it on the agenda.<\/p>\n<p><strong>The goal:<\/strong> Delegates are aiming to reach a conclusive decision on loss and damage \u201cno later than 2024,\u201d Egypt\u2019s Foreign Minister and COP27 President Sameh Shoukry said in his <a saying.<\/p>\n<p><strong>But it\u2019ll be a tough two weeks ahead:<\/strong> Harjeet Singh, head of global political strategy at the nonprofit Climate Action Network International, <a href=\"https:\/\/www.reuters.com\/business\/cop\/cop27-summit-begin-with-plea-discuss-climate-compensation-2022-11-06\/\">described<\/a> the weekend\u2019s negotiations as \u201cextremely challenging,\u201d and others are voicing trepidation about the likelihood of an agreement over the next two weeks. \u201cThis is going to be a difficult COP,\u201d one delegate told the Guardian.<\/p>\n<p><strong><a href=\"https:\/\/enterprise.news\/climate\/en\/news\/story\/9c38c6f3-9328-49d0-83b2-330b482a1066\">A showdown<\/a><\/strong><strong> has been brewing for some time:<\/strong> Wealthy nations have opposed official discussions on climate compensation for over a decade and at COP26 blocked a proposal for a dedicated loss and damage financing body, supporting instead a dialogue for funding discussions to take place over three years. With rich nations already <a href=\"https:\/\/news.sky.com\/story\/cop27-historic-moment-as-climate-compensation-to-be-discussed-at-un-talks-for-first-time-12739876\">being accused<\/a> of \u201cbullying\u201d poorer countries during the weekend\u2019s talks, expect the question of who pays for the climate crisis to be a major source of tension at this year\u2019s summit.<\/p>\n<p><strong>Climate finance has been a key area of focus for policymakers in the run-up to the <\/strong><strong>summit<\/strong>, with Egypt climate czar Mahmoud Mohieldin being particularly vocal in calling for compensation for climate change-driven damage and a funding shift away from debt, towards investment (<a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/5b47840b-5500-44d5-8bce-fe3ef9c2555b\">here<\/a> and <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/b66dd087-cdc3-483c-b4fa-a69742a3fe88\">here<\/a>).<\/p>\n<p><strong>FACING \u201cCLIMATE CHAOS\u201d<\/strong><\/p>\n<p><strong>Another note hit hard and early yesterday: The need for action in the face of <\/strong><strong>\u201cclimate chaos.\u201d <\/strong>COP27 must spur urgent and credible climate action, UN Secretary-General Antonio Guterres said in a video message yesterday, terming the UN\u2019s newly-released <a href=\"https:\/\/public.wmo.int\/en\/media\/press-release\/eight-warmest-years-record-witness-upsurge-climate-change-impacts\">State of the Global Climate Report 2022<\/a> a \u201cchronicle of climate chaos\u201d (<a href=\"https:\/\/news.sky.com\/video\/cop27-un-chief-antonio-guterres-warns-planet-is-sending-a-distress-signal-12740022\">watch, runtime: 1:11<\/a>). Guterres echoed the message of special representative for the COP27 presidency Wael Aboulmagd, who <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/93c95ba1-55eb-458c-a718-742546083012\">emphasized the importance of implementation<\/a> to reporters over the weekend.<\/p>\n<p><strong>And the importance of moving beyond COP26 pledges: <\/strong>It\u2019s time to start delivering on the Paris Agreement and other previously agreed climate pledges, Aboulmagd said. Last year\u2019s summit in Glasgow saw <a href=\"https:\/\/www.cfr.org\/in-brief\/cop26-heres-what-countries-have-pledged\">several important pledges<\/a> agreed on, including \u201cphasing down\u201d the use of coal, halting deforestation by 2030, slashing methane emissions by 30% by 2030, and submitting updated national plans with more ambitious targets.<\/p>\n<p><strong>Passing the torch:<\/strong> Yesterday saw outgoing COP President Alok Sharma hand the presidency to Shoukry, who chaired the opening plenary session.<\/p>\n<p><strong>Sharma also warned against delaying action:<\/strong> \u201cOur shared long-term future does not lie in fossil fuels,\u201d Sharma said in his address yesterday. While \u201cevery major report published this year underscores the point that progress has been made \u2026 there is so much more to be done in this critical decade,\u201d Sharma added.<\/p>\n<p><strong>PAYING THE BILL<\/strong><\/p>\n<p><strong>You can expect to hear lots more about climate finance and the need for<\/strong><strong> implementation over the next two weeks. <\/strong>These were two major conference themes out of four flagged in <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/93c95ba1-55eb-458c-a718-742546083012\">EnterpriseAM\u2019s<\/a> pre-COP roundup yesterday. To that end:<\/p>\n<p><strong>DFIs ready to scale up mitigation and adaptation support:<\/strong> A group of leading development finance institutions have pledged to expand support to countries for mitigation and adaptation in the face of climate change.<\/p>\n<p><strong>Who\u2019s on board: <\/strong>The African Development Bank, European Bank for Reconstruction and Development (EBRD), European Investment Bank, and the World Bank will help countries and other clients include adaptation and mitigation into their overall economic planning, offering support in areas including policymaking, investment plans and securing funding sources, they said in a <a href=\"https:\/\/ent.news\/2022\/11\/cop27-mdb-joint-statement-en.pdf\">joint statement (pdf)<\/a> yesterday. Boosting adaptation finance for low-income countries, island states, and vulnerable populations, and increasing concessional finance will be among their priorities, it added.<\/p>\n<p><strong>By the numbers:<\/strong> Last year, the lenders collectively channeled USD 51 bn in climate finance to low- and middle-income countries \u2014 split 65% for mitigation and 35% for adaptation, according to <a href=\"https:\/\/www.ebrd.com\/news\/2022\/mdbs-to-expand-support-for-countries-seeking-climateresilient-sustainable-transition-.html\">the EBRD<\/a>. Some USD 31 bn went to high-income countries, with 95% earmarked for mitigation and 5% for adaptation. They mobilized a further USD 41 bn of private finance.<\/p>\n<p><strong>Other major COP27 themes to keep an eye on: A \u201cjust energy transition\u201d: <\/strong>Individual countries need access to energy even as they work towards hitting their decarbonization targets, said Aboulmagd, noting that natural gas \u2014 the lowest-emission hydrocarbon \u2014 is increasingly viewed as a \u201ctransition fuel.\u201d African public and private sector leaders have <a href=\"https:\/\/www.theguardian.com\/environment\/2022\/oct\/17\/billionaire-mo-ibrahim-attacks-hypocrisy-over-africas-gas\">made the case<\/a> for the continent to see a \u201cjust energy transition,\u201d where countries can exploit their vast gas reserves. And prominent GCC voices \u2014 including Saudi Aramco CEO Amin Nasser and UAE energy ministry official Yousef Al Ali \u2014 <a href=\"https:\/\/enterprise.news\/climate\/en\/news\/story\/57b63b2a-c61b-42cb-b4c8-817522ccef88\">have argued<\/a> that the speed of targeted divestment from fossil fuels isn\u2019t viable, as existing renewables capacity can\u2019t satisfy energy demand.<\/p>\n<p><strong>And Egypt\u2019s exhortations to not be distracted by political squabbling: <\/strong>COP27 \u201chas to be a watershed moment where the world rises above differences that exist outside of the realm of climate change to come together to address what is perhaps the most universally acknowledged threat to humanity,\u201d Aboulmagd said.<\/p>\n<p><strong>OTHER COP NEWS:<\/strong><\/p>\n<p><strong>Green zone inaugurated<\/strong>: Prime Minister Moustafa Madbouly <a href=\"https:\/\/bit.ly\/3WxzvU6\">inaugurated<\/a> the summit\u2019s green zone which hosts exhibitions and pavilions. The financing is pending approval and would consist of a USD 75 mn loan and interest rate swaps worth around USD 8 mn, the disclosure says.<\/p>\n<p><strong>The players: <\/strong>The wind farm will be built by <a href=\"https:\/\/ameapower.com\/786-2\/\">Amunet<\/a>, a local special purpose vehicle that is 60% owned by Al Nowais subsidiary AMEA Power and 40% owned by Japan\u2019s Sumitomo Corporation. A consortium led by <a href=\"http:\/\/www.ecidi.com\/en\/index.aspx\">PowerChina Huadong Engineering<\/a> will be the EPC contractor, while Chinese energy group <a href=\"https:\/\/www.envision-group.com\/\">Envision<\/a> will serve as the turbine supplier.<\/p>\n<p><strong>The project: <\/strong>The IFC puts the total cost of the wind farm at USD 709 mn, 80% of which will be financed by debt and the remainder by equity. Further loans are expected from export credit agencies and commercial banks. The electricity produced will be sold to the state-owned Egyptian Electricity Transmission Company under a 25-year power purchase agreement. likely be written over the next two weeks to variously scrutinize and analyze, cheer and chide the discussions that take place at the UN COP27 climate conference, I want to be as clear as possible with mine &NoBreak;\u2014 <strong>businesses and investors are at a critical juncture<\/strong>.<\/p>\n<p>It is essential for business leaders to adopt a proactive approach to integrate environmental, social and governance (ESG) principles into their business planning, management and delivery, and to understand the ESG risks in their own operations and their supply chains.<\/p>\n<p>Managing the transition to a net zero carbon economic model as part of this ESG commitment is becoming more pressing as climate change challenges become more pronounced.<\/p>\n<p>Our clients recognize how important it is that they transition their business models.<\/p>\n<p>A full 97% of capital markets issuers in the Middle East who responded to the <a href=\"https:\/\/www.gbm.hsbc.com\/en-gb\/feed\/sustainability\/sfi-survey-menat-report\">HSBC 2021 Sustainable Finance and Investing Survey<\/a> said they had <strong>increased the attention that they pay to ESG issues<\/strong> over the past year.<\/p>\n<p><strong>Some 45% of issuers said that they were already seeing the impact of climate change on their business or activities<\/strong>, and 78% of issuers said they were actively working on their net zero commitments.<\/p>\n<p>This is positive news, but rest assured <strong>investors will be looking for more<\/strong>, especially with the goal of the Egyptian presidency of COP27 being to accelerate the global decarbonization drive, while also achieving a \u2018just transition\u2019 that factors in the needs and responsibilities of all countries and peoples.<\/p>\n<p>A successful COP27 will result in an acceleration of climate policies &NoBreak;\u2014 unlocking incentives for investment to reduce emissions as well as building resilience. This would drive more disclosure, more targeted regulation, and the integrity of corporate climate strategies.<\/p>\n<p>The UN\u2019s own estimate of the scale of investment required is daunting: <a href=\"https:\/\/climatechampions.unfccc.int\/whats-the-cost-of-net-zero-2\/\">USD 125 tn<\/a> between now and 2050. Their analysis suggests that over 70% of this capital needs to come from the private sector, including the financial system. This is an immense and unprecedented challenge, which requires borderless solutions and action.<\/p>\n<p><strong>So what does this mean for you as businesses and investors?<\/strong><\/p>\n<p>According to the latest HSBC Navigator report, <strong>38% of businesses working in Egypt are putting more than 10% of their operating profit towards becoming more sustainable<\/strong>.<\/p>\n<p>We are seeing this happening on the ground as well through our conversation with our clients. I met with one of our clients in Alexandria earlier this year who manufactures textiles for European markets and I was impressed to witness firsthand how he is adjusting his operations to boost the sustainability of his business.<\/p>\n<p>Meaningful change happens when government and the private sector &NoBreak;\u2014 be it private finance or private industry &NoBreak;\u2014 work together to agree solutions to the emerging challenges our planet is facing.<\/p>\n<p><strong>Transition risk is a reality for every business in the world.<\/strong> But it always has been &NoBreak;\u2014 a business only succeeds if it can adapt fast to emerging challenges and trends in the marketplace. Climate change amplifies this transition risk because it is truly global, and requires globally-agreed and globally-accelerated solutions.<\/p>\n<p>We have helped clients across Egypt navigate changing market conditions for many years. The full program will take place over the course of three years.<\/p>\n<p><strong>Who bought into the offering?<\/strong> QNB Al Ahli, Banque du Caire, Ahli United Bank, and aiBank, which is <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/a015541a-1a21-48dd-80d4-3dd23dd9d76b\">majority controlled<\/a> by our friends at EFG Hermes.<\/p>\n<p><strong>Once more for those in the back \u2014 what is future flow?<\/strong> Unlike <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/32ba4863-0863-403d-85e7-9732b18499b6\">traditional securitization<\/a>, future flow allows the securitization of payments that aren\u2019t yet on the company\u2019s balance sheet, giving companies access to liquidity without needing a big portfolio of accounts receivables. That dwarfs the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/d63bde8a-8f94-4b1b-9508-527c3143b1c3\">EGP 15.8 bn<\/a> taken to market during the whole of 2021.<\/p>\n<p><strong>About the issuance: <\/strong>The three-tranche issuance is backed by future tuition revenues, and consisted of seven-year securities sold at EGP 100 each. The issuance received an A rating from Middle East Rating Services (MERIS). The funds raised from this first issuance will be used to cover CIRA\u2019s growth plans in the next three years, including expanding its university and K-12 offering, CEO Mohamed El Kalla previously told us.<\/p>\n<p><strong>What expansions? <\/strong>CIRA is looking to <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/1391b0a4-23c0-46de-954f-a70b9a1f4ef4\">open three new schools<\/a> at the beginning of the coming school year in September, an international school in Assiut in 2024. It\u2019s also <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/fc453b39-a1d9-4967-8f81-fb5280b47582\">partnering with<\/a> investment company Elsewedy Capital Holding to build and run a private university in New Damietta, and plans to launch Egypt\u2019s <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/8d77b1b1-551a-4992-a0ff-3591c6dc48a8\">first private sector technical college<\/a> in September 2023.<\/p>\n<p><strong>Advisors:<\/strong> EFG Hermes is the financial advisor on the transaction, Zulficar & Partners is providing counsel, and PwC is the auditor. QNB AlAhli, Banque Misr, and Ahli United Bank, acted as underwriters, while Ahli United Bank also acted as custodian.<\/p>\n<p><strong>MORE FUTURE FLOWS COMING OUR WAY? <\/strong>The government is reportedly considering issuing future flows for utility firms in the water, electricity and gas sectors, <a href=\"https:\/\/bit.ly\/3WBlBAs\">Al Mal<\/a> reports, citing sources it says are in the know. Contact Financial Holding is also in talks with the FRA to securitize future flows in 2H 2022 on behalf of \u201cone of the largest corporate firms in Egypt,\u201d CFO Ayman Elsawy <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9e625720-db16-441e-b814-4222b031f284\">told Enterprise<\/a> earlier this year.<\/p>\n<p><em>Correction: 7 November, 2022<\/em><br \/>\n<em>A previous version of this story incorrectly said the Arab International Bank (AIB) acted as custodian on the transaction. The agreement is expected to unlock another USD 5 bn in financing from other international lenders. Policymakers expect the IMF executive board to approve the facility at a December meeting.<\/p>\n<p><strong>Show don\u2019t tell:<\/strong> \u201cEgypt remains a \u2018show me\u2019 story,\u201d an analyst at Columbia Threadneedle Investments told the outlet. \u201cThe IMF involvement is a nice policy anchor but does not by itself fix any of the external funding issues as program success is very much contingent on execution of the privatization and foreign-direct-investment agenda, of which investors remain skeptical given previous disappointments.\u201d <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9a6e2656-4691-40a4-b145-3467717a3a69\">Bloomberg<\/a> had earlier quoted Tellimer expressing similar concerns.<\/p>\n<p><strong>The program is at the low end of what was expected<\/strong>, disappointing some analysts who had estimated that the country could need as much as USD 15 bn to shore up its position. Deutsche Bank says Egypt needs USD 28 bn to cover debt repayments until the end of 2023 and requires another USD 20 bn for 2024, though it has just USD 33 bn in foreign reserves.<\/p>\n<p><strong>Goldman did warn that it could take a while to get investors on side:<\/strong> \u201cThe funding being made available in the program is unlikely, in our view, to immediately allay investor concerns regarding Egypt\u2019s medium-term external financing outlook. This gives the company until 1 May 2023 to bring its share price above USD 1.00 a share for at least 10 consecutive days before it receives a notice of a potential delisting.<\/p>\n<p><strong>The problem:<\/strong> The ride-hailing startup has consistently traded below USD 1.00 per share since the third week of September and is currently changing hands at around USD 0.51 per share \u2014down almost 95% from its USD 10.00 debut in April. According to Nasdaq delisting rules, the index sends a deficiency notice to any company whose share price remains below USD 1.00 for 30 consecutive business days. The listed firm then has 180 calendar days to get its share price back up above the minimum threshold or face delisting.<\/p>\n<p><strong>The game plan: <\/strong>Swvl is currently considering a reverse stock split \u2014 whereby it combines some of its shares to leave fewer, higher-priced shares in the market \u2014 and\/or requesting an extension from the Nasdaq that would give it another 180 days to boost its share price, Swvl CFO Youssef Salem told Enterprise. \u201cThere\u2019s a chance the share price recovers, so we still need to decide,\u201d Salem said.
