I\u2019ll tell you what later.\u201d Cash in hand \u2014 and maybe with a bit of extra private equity money on the side\u2014 you come and buy Enterprise and \u201cPresto,\u201d Enterprise is a public company.<\/p><p><a id=\"tldr-story-08\" class=\"content-anchor\"><\/a> <strong>Keep an eye on markets today as investors worry about everything from a second <\/strong><strong>wave of corona to the US elections. <\/strong>Global stocks took a hit yesterday as the spectre of new lockdowns and concerns about the trajectory of the economic recovery took hold. US stocks fell sharply at the start of the session before <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2020-09-20\/currencies-steady-in-early-trading-yuan-ticks-up-markets-wrap?sref=mmeFTDW1\">a slight tech rebound<\/a> saved the S&amp;P 500 from slipping into correction territory. European shares were hit harder, with indices across the continent closing deep in the red and the German DAX slipping 4% to <a href=\"https:\/\/www.ft.com\/content\/7da536fa-1e96-461c-8172-4aa6c5a8fa8e\">record its biggest single-day loss since June<\/a>. Bank stocks fell as investors reacted to <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0055aa53-d91a-41fd-83fb-c1c72355674f\">Sunday\u2019s leaks<\/a> allegedly exposing criminal activity in some of the world\u2019s largest financial institutions.<\/p><p><strong>Outside Egypt, the second wave is real:<\/strong><\/p><ul>\n<li><strong>European governments are likely to introduce new restrictions in the coming days<\/strong> as cases surge across the continent, <a href=\"https:\/\/www.cnbc.com\/2020\/09\/21\/europe-coronavirus-latest-more-restrictions-likely-in-the-coming-days.html\">CNBC<\/a> reports.<\/li>\n<li><strong>The UK government is considering a new two-week lockdown<\/strong> to curb the recent rise in cases, per <a href=\"https:\/\/www.bbc.com\/news\/uk-54229845\">the BBC<\/a>.<\/li>\n<li><strong>The covid death toll in the US is nearing 200k<\/strong>, as fears grow of a second wave of the virus, the <a href=\"https:\/\/www.wsj.com\/articles\/coronavirus-latest-news-09-21-2020-11600676779?mod=hp_lead_pos6\">Wall Street Journal<\/a> reports.<\/li>\n<li><strong>Israel entered a second country-wide lockdown on Friday <\/strong>to force residents to stay home during the Jewish New Year holiday, reports <a href=\"https:\/\/www.reuters.com\/article\/us-health-coronavirus-israel-lockdown\/israel-returns-to-lockdown-as-covid-19-cases-mount-idUSKBN26911I?il=0\">Reuters<\/a>.<\/li>\n<\/ul><p><strong>What does our crystal ball say? <\/strong>Asian stocks are in the red in early trading this morning (Japan being the exception \u2014 by a nose) and futures point to lower opens later today on Wall Street and across much of Europe.<\/p><hr class=\"grey-line\"><p><strong>Our bid to become the region\u2019s premier energy hug will get a big boost today <\/strong>when the EastMed Gas Forum\u2019s seven founding states gather in Cairo to sign the organization\u2019s <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/26f655dd-7dde-4517-86ad-8fd190f86a11\">charter<\/a>, which will officially establish Cairo as its headquarters, <a href=\"https:\/\/bit.ly\/2ZU5IcI\">Masrawy<\/a> reports. The forum was<a href=\"https:\/\/enterprise.press\/stories\/2019\/01\/15\/east-med-gas-players-vow-to-establish-regional-market-choose-cairo-as-hq-for-new-organization\/\">created in 2019<\/a> to establish a regional gas market and coordinate the development of the eastern Mediterranean\u2019s estimated 122 tcf of gas reserves. <strong>Who\u2019s on board? <\/strong>In addition to Egypt, the founding member states are Greece, Cyprus, Italy, Israel, Jordan and Palestine.<\/p><p><strong>It\u2019s day two of EFG Hermes\u2019 virtual investor conference<\/strong>, where more than 650 institutional investors with aggregate AUM north of USD 17 tn are connecting for discussions on the macroeconomic and industrial outlook for frontier and emerging markets. FEM markets are beginning to open up after enduring the worst of the economic fallout from covid-19, EFG CEO Karim Awad said, and investor appetite in these markets is still intact, as a rebound in equity and debt flows suggests, EFG Hermes Investment Banking Co-CEO Mohamed Ebeid <a href=\"https:\/\/ent.news\/2020\/9\/EFG-NR-2nd-Virtual-Investor-Conference-E-v1.pdf\">said (pdf)<\/a>. The winners will receive a USD 540k cash prize.<\/p><p><strong>More trade and investment with Spain:<\/strong> The Cairo rep office of Spanish lender <a href=\"https:\/\/www.caixabank.es\/\">CaixaBank<\/a> is looking to boost ties between Egypt and Spain in the wake of its parent company\u2019s acquisition of <a href=\"https:\/\/www.bankia.com\/en\/\">Bankia<\/a>, another Spanish lender, to form that country\u2019s biggest bank, local chief Luis Aspe tells us. The merged entity remains named CaixaBank. Spain remains one of Egypt\u2019s top trade and investment partners, with some USD 1 bn invested here by 252 companies. UN figures show we exported about USD 1 bn in goods and services to Spain last year (petroleum products and garments lead the list) while importing about USD 1.83 bn (led by vehicles and electronic equipment).<\/p><hr class=\"grey-line\"><p><strong>The Health Ministry <\/strong><strong><a href=\"https:\/\/bit.ly\/3cjgq1e\">reported<\/a><\/strong><strong> 126 new covid-19 infections yesterday<\/strong>, up from 115 the day before. Egypt has now disclosed a total of 102,141 confirmed cases of covid-19. The ministry also reported 17 new deaths, bringing the country\u2019s total death toll to 5,787. We now have a total of 90,332 confirmed cases that have fully recovered.<\/p><p><strong>Umrah-goers will be required to book a slot to perform the pilgrimage through a<\/strong><strong> new app Saudi Arabia is introducing<\/strong> to help enforce social distancing, said Saudi Arabia\u2019s Hajj and Umrah Minister Mohammad Saleh bin Taher Benten said yesterday, according to <a href=\"https:\/\/bit.ly\/3kD4OsY\">Al Arabiya<\/a>. The Umrah and Hajj pilgrimages have been suspended to curb the spread of covid-19 <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/5561105a-f204-46e8-a5d5-32bb50b0495e\">since March<\/a> but are expected to resume soon.<\/p><p class=\"web-image\"><img data-recalc-dims=\"1\" decoding=\"async\" src=\"https:\/\/i0.wp.com\/ent.news\/2019\/8\/Stock-trader-1600px.jpg?ssl=1\" alt=\"enterprise\"><\/p><p><strong>We want some of whatever Deutsche Bank is imbibing:<\/strong> The German investment bank said yesterday that global economic output will return to pre-covid levels by the middle of next year due to a stronger than expected rebound in recent months, <a href=\"https:\/\/www.google.com\/url?q=https:\/\/ara.reutersmedia.net\/article\/businessNews\/idARAKCN26C1JA&amp;sa=D&amp;ust=1600708088993000&amp;usg=AFQjCNGQRvSfNwEMh2o26c-gyYsBhx6MPA\">Reuters<\/a> reports. While Deutsche warned that soaring debt levels and shifting monetary policy stances may still provoke a financial crisis, it doesn\u2019t seem to have factored in the potential for further economic disruption in the winter in the same way as the markets did yesterday, calling the development of the pandemic \u201cdifficult to predict.\u201d<\/p><p><strong>One thing the pandemic has really helped: Boosting China\u2019s exports of electronics<\/strong><strong> and medical supplies<\/strong>, which have pushed up the country\u2019s share of global trade since April, according to data from Oxford Economics and Haver Analytics picked up by the <a href=\"https:\/\/www.ft.com\/content\/6f65b053-af11-4fee-a0c6-43adbe3f4e00\">Financial Times<\/a>. The banks started selling <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/25d803ad-5836-4534-b553-0fb9089f3bcf\">the high-interest certificates<\/a> in March to protect savers and ease pressure on the EGP after the central bank <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/f2e78eb3-6978-4eb5-a04f-a3b7247293ed\">cut interest rates<\/a> by 300 bps during the early days of the covid-19 pandemic. NBE sold some EGP 280 bn worth of the product during the six-month offering, Deputy Chairman Yehia Aboul Fotouh tells <a href=\"https:\/\/bit.ly\/2FUQU6i\">Al Mal<\/a>, while Banque Misr reeled in EGP 103 bn, Deputy Chairman Akef El Maghraby tells <a href=\"https:\/\/bit.ly\/3hKN24Z\">Hapi Journal<\/a>.<\/p>\n<p><strong>The two banks have been pulling liquidity out of the market with high interest rate <\/strong><strong>products since the float of the EGP in late 2016<\/strong> as the central bank guided the market away from dollarization. Both Banque Misr and NBE are now offering products more in line with rates offered by other players in the industry, with the highest yielding CDs in the banking system now in the 12-12.25% range, according to a survey by <a href=\"https:\/\/bit.ly\/33HzYZ6\">Masrawy<\/a>.<\/p>\n<p><strong>Scrapping high-interest products could be another way for the central bank to support <\/strong><strong>the economy <\/strong>without having to cut interest rates to keep the country attractive to the carry trade. \u201cCancelling the 12-month, 15% high-yielding certificates of deposits \u2026 [would] be <strong>supportive of growth, equities and banks\u2019 net interest margins<\/strong>,\u201d Renaissance Capital\u2019s Ahmed Hafez <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/2efff360-1ba5-4323-8659-b29a24c332d0\">suggested in a research note last week<\/a>. EFG Hermes\u2019 Mohamed Abu Basha, meanwhile, wrote yesterday that \u201cthe move indicates that <strong>monetary authorities are comfortable with the current FX liquidity<\/strong> in the market with a reduced risk of dollarization,\u201d forecasting that the CBE will leave interest rates on hold this coming Thursday.<\/p>\n<p><strong>The<\/strong><strong> National Investment Bank has also scrapped its high-interest certificates <\/strong>as it faces the prospect of compressed net interest margins after <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/8cf11036-0d08-41a5-9a54-9abe42477f6a\">losing access to tax breaks on income from treasuries<\/a>, NIB Managing Director Mahmoud Montasser <a href=\"https:\/\/www.almasryalyoum.com\/news\/details\/2042062\">told Al Masry Al Youm<\/a>. The unusual financial vehicle has broken records in 2020, with 82 of the 223 SPACs launched since 2015 coming this year. The awkward-sounding acronym is becoming increasingly commonplace in the financial press as big names get in on the act. Hedge fund titan <a href=\"https:\/\/www.ft.com\/content\/506f6421-4c8f-4a2f-825a-37b2c3a93534\">Bill Ackman<\/a> has a SPAC. Baseball exec <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2020-08-20\/hedge-fund-millennium-buys-stake-in-billy-beane-s-redball-spac\">Billy Beane<\/a> and Silicon Valley investor <a href=\"https:\/\/www.ft.com\/content\/7346d110-4f8c-4fe0-b866-4c28fc5a50c8\">Kevin Hartz<\/a> both have SPACs. Former House Speaker <a href=\"https:\/\/www.wsj.com\/articles\/former-house-speaker-paul-ryan-starts-blank-check-company-11597934227\">Paul Ryan<\/a> also has SPAC. Reading the MarketWatch piece \u2014 incidentally about why you may want to think twice before investing in a SPAC (more on that later) \u2014 got us thinking: how many of our readers actually know what a SPAC is? Behold then, ladies and gentlemen, the catalyst for the launch of a new weekly section dedicated to decoding the arcane corners of the financial world.<\/p>\n<p><strong>So, what\u2019s a SPAC already?<\/strong> Let\u2019s say you\u2019re an investor who is interested in acquiring a company. You could go the traditional route, entering into talks to purchase a stake of, or perhaps buyout, the firm. Another option, one that is increasingly being deployed by US investors, is to set up a SPAC. SPAC stands for special-purpose acquisition company: a listed entity dedicated solely to acquiring companies. Because of this, SPACs don\u2019t actually have commercial operations \u2014 they exist just to allow the creator to raise money in an IPO on a stock exchange. The owners of the company will work to drum up interest among institutional investors as they would do ahead of an IPO and then float the SPAC on a stock exchange. After going public, the SPAC places the proceeds in a trust while it finds a company to acquire (this usually has to be done within two years or it faces liquidation).<\/p>\n<p><strong>You may have seen SPACs referred to in the press as blank-check companies<\/strong> \u2014 and this is crucial. To speed up the listing process, the founders rarely disclose what companies they will try to acquire post-IPO. Investors are effectively kept in the dark about how their money will be invested, tantamount to handing the owners a blank check.<\/p>\n<p><strong>So why the SPAC boom?<\/strong> Having existed since the 1980s, SPACs are becoming one of the hottest asset classes in the US markets as central bank stimulus floods markets with liquidity and investors search for growth companies. Business owners, too, <a href=\"https:\/\/edition.cnn.com\/2020\/08\/06\/investing\/spacs-ipos-stock\/index.html\">are warming to the idea<\/a>, attracted by the speedier listing process and increased certainty offered by the vehicles. The entry of well-known investors and higher-value companies has made SPACs \u2014 which have historically been associated with <a href=\"https:\/\/www.ft.com\/content\/6eb655a2-21f5-4313-b287-964a63dd88b3\">legally dubious strategies<\/a> \u2014 a new air of credibility in the eyes of businesses and investors alike, says Bill Haddad, a partner in the corporate practice of law firm Venable LLP.<\/p>\n<p><strong>Thing is, SPACs don\u2019t often make a great investment:<\/strong> That MarketWatch piece we mentioned earlier highlights recent research by Renaissance Capital that suggests the returns offered by SPACs pale in comparison to traditional IPOs. Of the 223 SPACs, just 89 have actually managed to acquire a company and take it public, and of those 89, common shareholders have faced average losses of almost 19% and a -36.1% median return, compared to a 37.2% average return delivered by traditional IPOs. Analysis by <a href=\"https:\/\/www.ft.com\/content\/6eb655a2-21f5-4313-b287-964a63dd88b3\">the Financial Times<\/a> has also revealed the share prices of the bulk of SPACs launched between 2015 and 2019 are below USD 10 apiece, the price at which the vehicles usually debut on the market. \u201cOverall, investing in a Spac is like flipping a coin, where only half of them are shown to be value creating,\u201d Milos Vulanovic, finance professor at EDHEC Business School and SPAC expert, told the paper.<\/p>\n\t<\/div><!-- .entry-content -->\n\n\t\n<\/article><!-- #post-${ID} -->\n\n\n    <div
