It\u2019s officially no longer 2020.<\/strong><\/p><p><strong>Since we last wrote to you, the UK\u2019s tumultuous breakup with the EU after a<\/strong><strong> 48-year <\/strong><strong>union finally came to a close.<\/strong> After months of delays and highwire negotiations, the two sides managed to scrape together a last-minute trade pact, preventing a disorderly British exit. In what <a href=\"https:\/\/www.reuters.com\/article\/us-britain-eu\/with-little-ado-a-divided-united-kingdom-casts-off-into-the-brexit-unknown-idUSKBN2950CL\">Reuters<\/a> is calling the \u201cmost significant geopolitical shift since the loss of empire,\u201d the UK has finally left more than 4.5 years after voting to do so, leaving the country divided.<\/p><p><strong>With the completion of Brexit, Egypt\u2019s new trade agreement with the UK came into effect.<\/strong> President Abdel Fattah El Sisi <a href=\"https:\/\/bit.ly\/3pENMNJ\">ratified last month<\/a> the agreement, which UK Trade Envoy to Egypt Sir Jeffery Donaldson <a href=\"http:\/\/english.ahram.org.eg\/NewsContent\/3\/12\/393664\/Business\/Economy\/EgyptUK-trade-agreement-takes-effect--December-UK-.aspx\">said<\/a> previously could unlock a spate of fresh British investments in Egypt.<\/p><p><strong>Here at home, the Finance Ministry launched the pilot phase of its <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/48e0d573-1690-4010-b404-18b22ca18587\">unified tax platform<\/a><\/strong><strong> on<\/strong> <strong>Friday.<\/strong> 11k of the country\u2019s largest taxpayers must now file returns and pay taxes through the platform, which will also allow businesses to register for tax, settle unpaid taxes, and make enquiries to the Tax Authority. Hospital Group\u2019s (CHG) acquisition of 100% of Alameda Healthcare Group has not received the Egyptian Competition Authority\u2019s (ECA) blessing, which said in <a href=\"https:\/\/ent.news\/2021\/1\/ECA-CHG-Alameda-1.pdf\">a statement (pdf)<\/a> last week that its preliminary decision is to not approve the merger. CHG had announced the sale and purchase agreement <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/f49a0bad-84a7-49f3-b20e-68c1976ec30b\">last week<\/a>, with an eye to close the transaction in 1H2021, pending regulatory approvals.<\/p>\n<p><strong>So, what\u2019s the ECA\u2019s problem here?<\/strong> The competition watchdog suggests there are \u201cindicators\u201d the merger could have a negative impact on Egypt\u2019s healthcare industry, saying an initial study of the country\u2019s private hospital landscape found that the merged entity would monopolize services in the Cairo-Giza area. The ECA also suggests that this scenario could give the company more power over the labor market and allow it to lower wages.<\/p>\n<p><strong>But how big would the company really be? <\/strong>The merger would give Cleopatra control of some 1,450 beds, equating to around 15% of beds in private sector hospitals in Greater Cairo and 4% nationwide.<\/p>\n<p><strong>Then there\u2019s just the small fact that the ECA doesn\u2019t have a binding say on the matter (yet).<\/strong> The regulator doesn\u2019t have the power to block mergers and acquisitions from taking place, and can only challenge agreements after they\u2019ve been made. Proposed mendments to the Antitrust Act would change this, requiring companies to seek the authority\u2019s approval before finalizing M&As. The changes are still making their way down the legislative pipeline, having received the green light from the cabinet <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/87b20875-6cf8-4b69-a510-f299a67fe936\">in November<\/a>. The amendments still require approval from the House of Representatives and ratification by President Abdel Fattah El Sisi before coming into effect \u2014 a process we doubt will wrap before the CHG-Alameda merger does.<\/p>\n<p><strong>CHG nonetheless acknowledged that the transaction is pending approvals<\/strong>, including from the Health Ministry, Financial Regulatory Authority, ECA, and shareholders, according to a <a href=\"https:\/\/www.egx.com.eg\/downloads\/Bulletins\/255850_2.pdf\">bourse disclosure on Thursday (pdf)<\/a>. The company also said it has yet to submit a \u201ccomplete application\u201d to the ECA, which it is currently preparing and will address the ECA\u2019s concerns.<\/p>\n<p><strong>ALSO FROM THE ECA-<\/strong><\/p>\n<p><strong>Al Ahram Beverages Company has been engaging in monopolistic<\/strong><strong> practices <\/strong><strong>that violate the antitrust law<\/strong>, including forcing its clients not to do business with its competitors and offering loyalty markdowns, the ECA alleged in <a href=\"https:\/\/ent.news\/2021\/1\/ECA-Al-Ahram-Beverages-monopoly-1.pdf\">a statement (pdf)<\/a>. The company uses its market power to control prices and supply, which has forced some retailers out of business, prevented market competition and stunted investment in the sector, the ECA claimed. The statement made no mention of consequences or sanctions for the nation\u2019s largest producer and distributor of alcoholic beverages.<\/p>\n<p><strong>MOVES- The ECA has appointed Mahmoud Momtaz <\/strong>(<a href=\"https:\/\/www.linkedin.com\/in\/mahmoud-momtaz-phd-48a14326\/?originalSubdomain=eg\">LinkedIn<\/a>)<strong> as its new c<\/strong><strong>hairman<\/strong>, the Trade Ministry said in <a href=\"https:\/\/bit.ly\/3n6drNh\">a statement<\/a>. Momtaz holds a PhD in competition law and economics from the University of Hamburg, and has been a specialist on the private sector and competition expert at the World Bank since 2018. Egypt has now disclosed a total of 140,878 confirmed cases of covid-19.<\/p>\n<p><strong>Officials are working to expedite the shipment of Sinopharm shots. <\/strong>Zayed discussed the matter with China\u2019s ambassador to Egypt after signing an MoU to cooperate more closely on vaccine distribution, according to a <a href=\"https:\/\/bit.ly\/3rLELEj\">ministry statement<\/a>.<\/p>\n<p><strong>The first shipment of AstraZeneca \/ Oxford vaccines will arrive by the third or fourth week of this month<\/strong>, Zayed also told Adib last night (<a href=\"https:\/\/www.youtube.com\/watch?v=bmfPobaG1fc\">watch, runtime: 3:06<\/a>). The four-tranche sale was backed by EGP 3.4 bn in receivables from leasing contracts. The bonds pay out floating coupon rates that vary with the central bank\u2019s overnight rate. Corplease, one of Egypt\u2019s largest leasing companies, had completed a <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/c7a14bec-94aa-4271-94b2-762653c0b901\">similar EGP 2.2 bn bond issuance<\/a> roughly around the same time last year. Its latest sale comes as the securitized bond market has heated up <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/322b1f8e-fc8d-442f-957c-c66632dfe443\">amid the pandemic<\/a>.<\/p>\n<p><strong>Who bought in?<\/strong> Banque Misr, Banque du Caire, Suez Canal Bank, Ahli United Bank, Abu Dhabi Commercial Bank, Bank ABC and the United Bank all got a piece of the issuance.<\/p>\n<p><strong>Advisors: <\/strong>Misr Capital acted as the financial advisor, lead manager, and underwriter. In the first four months of 2020, the bourse only saw \u201ca handful\u201d of short selling transactions worth EGP 100k, which Misr for Central Clearing, Depository, and Registry Managing Director Tarek Abdel Bari <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/bcfc1271-2557-4c95-903f-516fb4c1131a\">said at the time<\/a> is anemic. Abdel Bari had suggested the pandemic-induced equity sell-off at the beginning of last year was a golden chance for investors to book gains, but few took advantage. href=\"https:\/\/www.facebook.com\/EgyptianCabinet\/posts\/1821138304731193\">a statement<\/a>. The bill would allow the state grain buyer to ship commodities in and out of the country and own a fleet of commercial ships. The company would be named Atlantic Pacific Shipping and Trade Co. As it currently stands, GASC often taps the state-owned National Navigation Company to transport the commodities it buys in tenders, according to <a href=\"https:\/\/www.reuters.com\/article\/idUSL8N2JB1TU\">Reuters<\/a>.<\/p>\n<p><strong>Why the shift?<\/strong> The statement doesn\u2019t spell out why GASC could be looking to handle commodity shipments on its own, but the state grain buyer had <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0528390b-2c0f-4a81-b9ec-ce1f846e190a\">reportedly been mulling<\/a> asking commodity suppliers to offer their prices on a cost and freight basis, rather than the traditional [redacted]-on-board (FOB). While cost and freight agreements make the seller responsible for arranging and paying for shipping or freight, FOB agreements only require the seller to own and be responsible until it is loaded onto the shipping vessel.
