We have chapter and verse on all of this \u2014 and more \u2014 in this morning\u2019s Speed Round, below.<\/p>\n<p><strong>WHAT\u2019S HAPPENING TODAY-<\/strong><\/p>\n<p><a id=\"tldr-story-07\" class=\"content-anchor\"><\/a><strong> The first week of fall conference season continues in earnest:<\/strong><\/p>\n<p><strong>The <\/strong><strong><a href=\"https:\/\/bit.ly\/3l0GeDU\">GlobalCapital Sustainable and Responsible Capital Markets Forum 2021<\/a><\/strong> <strong>kicks off <\/strong><strong>toda<\/strong>y and features Vice Minister of Finance Minister Ahmed Kouchouk. The conference will run until tomorrow.<\/p>\n<p><strong>The three-day <\/strong><strong><a href=\"https:\/\/www.egyhealthexpo.com\/\">Egy Health Expo<\/a><\/strong><strong> starts today<\/strong> at the Al Manara International Conference Center.<\/p>\n<p><strong>It\u2019s day three of the <\/strong><strong><a href=\"https:\/\/alolabor.org\/20527\/\">Arab Labor Conference<\/a><\/strong>, which is running through to 12 September at the InterContinental CityStars Hotel in Heliopolis. Government officials, ambassadors, trade union reps and business owners\u2019 association delegates from 21 Arab countries are participating in the gathering.<\/p>\n<p><strong>It\u2019s the final day of the <\/strong><strong><a href=\"https:\/\/www.arabsecurityconference.com\/\">Arab Security Conference<\/a><\/strong>, which is taking place at the Nile Ritz-Carlton in Downtown Cairo.<\/p>\n<p><a id=\"tldr-story-08\" class=\"content-anchor\"><\/a> <strong>Second time\u2019s the charm?<\/strong> <strong>A second round of talks between Egypt and Turkey <\/strong><strong>kick<\/strong><strong>s off in <\/strong><strong>Ankara today<\/strong>, after a previous meeting between the two countries in May ended without a breakthrough. The two-day talks between Deputy Foreign Minister Hamdy Loza and Turkish officials <a href=\"https:\/\/www.facebook.com\/MFAEgypt\/posts\/144895347820320\">announced<\/a> by our foreign ministry last week come amid a <a href=\"https:\/\/www.reuters.com\/world\/middle-east\/turkey-uae-rein-dispute-that-fuelled-conflict-hurt-economy-2021-09-06\/\">thaw in tensions<\/a> between Turkey and the UAE, and<a href=\"https:\/\/www.reuters.com\/world\/middle-east\/turkey-sees-positive-delopments-saudi-egypt-ties-2021-08-25\/\">attempts by Ankara to mend relations<\/a> with another of its long-standing regional rivals, Saudi Arabia.<\/p>\n<p><strong>Also happening internationally today-<\/strong><\/p>\n<p><strong>Canada\u2019s borders reopen today to vaccinated travelers and visa holders <\/strong>who have been fully jabbed with Johnson & Johnson, Pfizer \/ BioNTech, Moderna or AstraZeneca. Under the new rules that went into effect just as we were hitting \u201csend\u201d on this morning\u2019s edition, all travelers are welcome provided they are fully vaccinated and took a negative PCR test no more than 72 hours before their flight took off. None will face quarantine. <a href=\"https:\/\/www.canada.ca\/en\/border-services-agency\/news\/2021\/09\/travel-advisory-reminder--on-september-7-new-measures-for-fully-vaccinated-international-travellers-to-canada-will-come-into-force.html\">You can read the rules yourself on Canada\u2019s website here<\/a> or check out coverage by <a href=\"https:\/\/www.cbc.ca\/news\/business\/canada-travel-foreigners-vaccinated-1.6162956\">CBC<\/a>.<\/p>\n<p><strong>SMART POLICY- Booster shots for already-vaccinated travelers <\/strong>could be in the cards by year\u2019s end, Health Minister Hala Zayed said yesterday. That\u2019s great news for people with, say, two doses of Sinopharm in their arm who want to travel to, say, Canada without quarantine. We have more on the story in Last Night\u2019s Talk Shows, below.<\/p>\n<p><strong>US Secretary of State Anthony Blinken has <\/strong><strong><a href=\"https:\/\/www.france24.com\/en\/live-news\/20210906-blinken-in-doha-for-afghan-crisis-talks-with-qatar\">landed in Qatar<\/a><\/strong><strong> for crisis talks over <\/strong><strong>Afghanistan: <\/strong>Blinken and Defense Secretary Lloyd Austin <a href=\"https:\/\/www.state.gov\/secretary-blinken-travels-to-qatar-to-advance-bilateral-ties\/\">will hold talks with senior Qatari officials<\/a>, in the most high-level US visit to the region since the Taliban\u2019s rapid takeover of Afghanistan last month. Doha hosts the Islamist group\u2019s only political office outside of Afghanistan, and played a key role facilitating peace talks that led to the US agreeing to withdraw from the country. shock, <a href=\"https:\/\/ent.news\/2021\/9\/BM-Press-Release-H1-2021-Middle-East-MA-Report_September-2021_English.pdf\">Baker McKenzie (pdf)<\/a> said yesterday. Egypt saw 18 transactions worth USD 1.8 bn during the six-month period, figures published by the law firm show, making it the most popular country in the region for M&A by value and the second by transaction count. Firms based in Egypt were the third most-active in cross-border M&A in our region, with eight reported during the period.<\/p>\n<p><strong>Investors from the US <\/strong>(21 transactions) <strong>and the UK <\/strong>(nine) <strong>were the most active sources of inbound investment into the region<\/strong>, followed by Egypt (eight transactions). Inbound M&A activity was dominated by the energy and power, consumer products and service, financial and high-tech industries, the report said.<\/p>\n<p><strong>For outbound transactions from the Middle East into other regions: <\/strong>Egyptian investors pulled the trigger on 18 transactions, followed by the UK with 11 M&As worth USD 1.7 bn. The US knocked both of them out of the top spot for volume, with 22 transactions during the first half of the year. Outbound activity was dominated by regional investors, with energy and power, retail, and tech proving the most attractive sectors.<\/p>\n<p><strong>The appetite for tech companies in MENA will continue to grow in the months ahead<\/strong>, Baker McKenzie\u2019s Osama Audi said, predicting a \u201csustained increase\u201d in regional and out-bound tech M&As.<\/p>\n<p><strong>What\u2019s driving the surge? <\/strong>Ultra-low interest rates, increasing appetite for risk and tns of USD sloshing around private equity groups are all driving the swell in activity.<\/p>\n<p><strong>Glo<\/strong><sup><\/sup><strong>bal dealmaking has surged this year<\/strong>, putting 2021 on course to smash records, as we reported yesterday morning, citing a Financial Times report based on data from citing Refinitiv. Almost USD 4 tn of transactions were agreed in the first eight months of the year, with USD 500 bn coming in August alone, <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/01611dc2-bcef-4b59-917d-a754bb3bad14\">the Financial Times<\/a> reported earlier this week,.<\/p>\n<p><strong>But Baker McKenzie\u2019s regional figures show a slightly different story<\/strong>, suggesting by its math that total regional transaction values actually fell slightly this year, reaching USD 40.3 bn from USD 43.5 bn in 1H2020, despite the number of transactions rising by almost 60% to 307.<\/p>\n<p><strong>Several big-ticket tech transactions have occurred in the region in recent months:<\/strong> Egyptian transport company Swvl agreed to a <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/bfbf590f-581d-4b49-96b3-3ac733bb7fe3\">USD 345 mn SPAC merger<\/a> in July that values it around USD 1.5 bn and paves the way for an IPO on the Nasdaq next quarter. Music streaming service <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/7268870a-5759-4109-9e42-9a87f9958984\">Anghami will also list on the Nasdaq<\/a> after agreeing a similar SPAC yesterday after reports in the local press fuelled speculation that the government is planning to introduce a capital gains tax on shares at the beginning of next year.<\/p>\n<p><strong>What\u2019s the fuss about?<\/strong> <a href=\"https:\/\/www.youm7.com\/story\/2021\/9\/3\/%D8%A8%D8%AF%D8%A7%D9%8A%D8%A9-%D9%85%D9%86-%D9%8A%D9%86%D8%A7%D9%8A%D8%B1-2022-%D9%87%D8%B0%D9%87-%D8%A3%D8%B3%D8%B9%D8%A7%D8%B1-%D8%B6%D8%B1%D9%8A%D8%A8%D8%A9-%D8%A7%D9%84%D8%A3%D8%B1%D8%A8%D8%A7%D8%AD-%D8%A7%D9%84%D8%B1%D8%A3%D8%B3%D9%85%D8%A7%D9%84%D9%8A%D8%A9-%D8%B9%D9%84%D9%89\/5448685\">Tax regulations published<\/a> by local media suggested that a 10% tax on gains made from share disposal will come into force on 1 January. The rules \u2014 which outline taxes on the selling of shares and treasury bills \u2014 will only apply to resident investors, exempting foreigners from paying the 10% tax.<\/p>\n<p><strong>But the ministry says that this isn\u2019t the case:<\/strong> The ministry denied that the circular indicated that the tax will come into force next year, saying it was issued in order to clarify pre-existing regulations.<\/p>\n<p><strong>We\u2019ve been aware since last year that the CGT could make a comeback:<\/strong> As part of a raft of measures to support investment in Egyptian equities, the government last year <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/1154689d-294f-4d45-95b4-84a76d67466c\">postponed the reintroduction of a capital gains tax on EGX transactions<\/a> until 1 January 2022.<\/p>\n<p><strong>What happens now? <\/strong><strong>We talk about it.<\/strong> With the postponement due to expire at the end of the year, policymakers will soon restart discussions on the future of an EGX capital gains tax, <a href=\"https:\/\/bit.ly\/2WUHPDA\">local media quoted<\/a> EGX Chairman Mohamed Farid saying, explaining that officials will have to weigh the tax\u2019s impact on the market. The ministry did not address when the tax could be reintroduced.<\/p>\n<p><strong>Plans for the capital gains tax were first introduced in 2015 <\/strong>before being <a href=\"https:\/\/enterprise.press\/stories\/2017\/01\/22\/stock-market-stamp-tax-could-be-reintroduced-govt-looking-to-suspend-capital-gains-tax\/\">postponed to 2017<\/a> due to concerns over its negative impact on investments. When 2017 rolled around, the capital gains tax was <a href=\"https:\/\/enterprise.press\/stories\/2017\/03\/16\/cabinets-economic-group-approves-stamp-tax\/\">replaced<\/a> by a 0.125% stamp tax on stock market transactions and shelved for a three-year period. Then in 2019, the tax was back on the table when it was <a href=\"https:\/\/enterprise.press\/stories\/2019\/05\/28\/finmin-egyptian-bourse-are-in-serious-talks-over-amending-capital-gains-tax-framework\/\">reported<\/a> that officials were in serious talks over bringing it into effect in 2020, but the destabilizing effect of covid-19 on markets <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/6f075efe-7b2a-4bcd-998c-7b7cc26ff746\">pushed its implementation back<\/a> even further.<\/p>\n<p><strong>Policymakers have delayed the <\/strong><strong>tax to shore up investor confidence<\/strong>, but this has <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2015-05-24\/imf-criticizes-egypt-s-decision-to-delay-capital-gains-tax?sref=mmeFTDW1\">attracted criticism<\/a> from the IMF which said that in its absence the tax burden would disproportionately fall on poorer Egyptians.<\/p>\n<p><strong>Meanwhile, investors in real businesses continue to pay capital gains and dividend taxes <\/strong>because we, unlike retail investors in the EGX, lack a bright, shiny gauge to which we can point and complain.<\/p>\n<p><strong>OTHER CAPITAL MARKETS NEWS: <\/strong><\/p>\n<p><strong>The number of registered investors on the EGX has risen by 74% y-o-y in the first <\/strong><strong>seven months of 2021,<\/strong> EGX Chairman Mohamed Farid <a href=\"https:\/\/almalnews.com\/%D9%85%D8%AD%D9%85%D8%AF-%D9%81%D8%B1%D9%8A%D8%AF-%D8%A7%D8%B1%D8%AA%D9%81%D8%A7%D8%B9-%D8%B9%D8%AF%D8%AF-%D8%A7%D9%84%D9%85%D8%B3%D8%AA%D8%AB%D9%85%D8%B1%D9%8A%D9%86-%D8%A7%D9%84%D9%85%D8%B3%D8%AC\/\">said<\/a> yesterday. Wind energy investment is also well underway, with players keen to get in on projects like the <a href=\"https:\/\/enterprise.press\/stories\/2019\/11\/03\/toyota-orascom-alliance-begins-trial-run-on-250-mw-ras-gharib-wind-farm\/\">Ras Gharib wind farm<\/a>.<\/p>\n<p><strong>Covid-19 and the electricity supply glut slowed the renewables transition:<\/strong> Egypt\u2019s renewable energy ambitions have been tempered by our <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/97de7175-da9a-4189-99de-bfb45a999e00\">electricity supply glut<\/a>. To avoid exacerbating overcapacity amid pandemic-driven reduced energy demand, the government <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/52955f11-2944-4253-bbda-0fa4fbdf54b3\">took steps last year<\/a> to limit renewable energy generation. <strong>We should expect investment in renewables to slow down substantially over the next 18-24 months,<\/strong> the CEO of a prominent renewable energy company told us at the time.<\/p>\n<p><strong>An April 2021 <\/strong><strong><a href=\"https:\/\/static1.squarespace.com\/static\/609a53264723031eccc12e99\/t\/60ed52fd4182611181b525bb\/1626166020587\/Assessing-Investment-Risks-in-Renewable-Energy-min.pdf\">report (pdf)<\/a><\/strong><strong> by RES4Africa and PricewaterhouseCoopers assesses the perceived risk of investing in renewable energy,<\/strong> in seven countries in the Southern and Eastern Mediterranean (SEMED). It follows an earlier <a href=\"https:\/\/static1.squarespace.com\/static\/609a53264723031eccc12e99\/t\/60ed425cfb5306426eccdced\/1626161762376\/Survey+on+the+main+barriers+affecting+investments+in+RE+capacity+in+the+Mediterranean.pdf\">2016 report (pdf)<\/a>. The 2021 report\u2019s Egypt-focused section uses data from five public sector and 21 private sector survey participants.<\/p>\n<p><strong>The good news: overall, Egypt\u2019s renewables investment environment is seen as less risky than it was in 2016. <\/strong>Investor confidence in Egypt\u2019s renewable energy sector has improved markedly in the last five years, with Egypt now considered medium-risk rather than high-risk.<\/p>\n<p><strong>How does Egypt compare to its regional peers?<\/strong> Regionally, overall perceived investment risk in renewables has decreased since 2016. Morocco\u2019s risk level is lowest. Egypt, Jordan and Tunisia are all considered medium-risk markets, and Algeria, Libya and Lebanon high-risk. Like Egypt, Morocco, Jordan and Tunisia all see pronounced gaps in risk perception between the public and private sectors, the report notes.<\/p>\n<p><strong>What\u2019s helped reduce perceived risk? A more stable macroeconomic climate and support from DFIs.<\/strong> The government has improved Egypt\u2019s credit rating, stabilized the macroeconomic climate, and drawn financing and technical support from development finance institutions (DFIs), the report tells us. 73% of private sector survey respondents now see financing availability in Egypt as being of low concern.<\/p>\n<p><strong>Thanks to gov\u2019t efforts to improve the legislative framework, Phase 2 of the FiT attracted much more interest than Phase1,<\/strong> the report tells us. Phase Two\u2019s contractual arrangements included a 25-year Power Purchase Agreement (PPA) with the <a href=\"http:\/\/www.eetc.net.eg\/\">Egyptian Electricity Transmission Co. (EETC)<\/a> and a sovereign guarantee backing the payment obligations of energy-purchasing parties.<\/p>\n<p><strong>Now, investors feel the likelihood of not seeing project revenues is low: <\/strong>Over 60% of private sector respondents see risks related to project counterparties (usually EETC), capital transfer or termination as being of low concern. Phase Two\u2019s PPA and the sovereign guarantee upped investor confidence substantially over five years, the report tells us.<\/p>\n<p><strong>Meanwhile, construction, operational, social and environmental risks aren\u2019t a worry:<\/strong> Construction and operation concerns remain low, perhaps driven by the affordability of local raw materials and components, competitive terms offered by Egypt\u2019s engineering companies, and our highly qualified workforce, the report says. 80% of private sector respondents see obtaining licenses and permits as of low concern \u2014 a substantial improvement from five years ago. And perceived environmental and social risks are low, perhaps because of the job-creation potential renewable projects offer, the report notes.<\/p>\n<p><strong>Still, major investment concerns remain \u2014 particularly among the private sector. Despite gov\u2019t reforms, the regulatory framework tops them all. <\/strong>The law is considered the most problematic risk area among investors, with perceived risk actually increasing in the last five years, \u201cin contrast to the improvement in all other areas.\u201d But while 79% of private sector respondents consider regulatory and policy issues to be of very high concern, only 20% of public stakeholders agree. More business-government dialogue is needed to bridge this perception gap, the report says.<\/p>\n<p><strong>What\u2019s driving this? EETC\u2019s perceived high influence over gov\u2019t policy: <\/strong>Many investor concerns relate to <a href=\"https:\/\/enterprise.press\/stories\/2019\/02\/24\/electricity-ministry-raises-benbans-solar-park-cost-sharing-bill\/\">a dispute<\/a> about the cost-sharing agreement between the EETC and Benban project companies, where the EETC unilaterally raised the cost-sharing costs, the report says. Investors see the EETC as able to exert undue influence over government policy, it adds.<\/p>\n<p><strong>Along with the belief that non-megaprojects face greater risks than megaprojects: <\/strong>The private sector sees Egypt\u2019s legal framework as inadequate to support investment in renewables projects, aside from government-backed megaprojects, the report says. Projects that aren\u2019t megaprojects face more uncertainties when it comes to permitting, wheeling charges and curtailment, investors believe.<\/p>\n<p><strong>And lingering concerns about dispute resolution:<\/strong> Dispute resolution was particularly challenging during Phase One of the FiT, when international arbitration was banned, the report says. Though this was resolved during Phase Two, investor concerns remain about the quality of Egypt\u2019s judicial processes. Egypt ranked 166 globally for contract enforcement in the <a href=\"https:\/\/documents1.worldbank.org\/curated\/en\/688761571934946384\/pdf\/Doing-Business-2020-Comparing-Business-Regulation-in-190-Economies.pdf\">2020 World Bank Doing Business Report (pdf)<\/a> \u2014 well below the MENA average, the 2021 report notes.<\/p>\n<p><strong>Some 60% of private sector respondents also have concerns about Egypt\u2019s tax regime,<\/strong> the report tells us. Although a 30% tax deduction on net income for renewables projects was among the incentives introduced by the new Investment Act of 2017, investors are said to be concerned that new taxes may be introduced in the wake of the pandemic to make up any budgetary shortfalls.<\/p>\n<p><strong>The public and private sectors are much more aligned on FX risks,<\/strong> which are heightened by pandemic-driven instability, the report says. Although the FX rate has stabilized since the 2016 devaluation, covid-19 and decreased tourism revenues have driven the value of the EGP down. The central bank issued a convertibility guarantee, which offers investors some relief, but more FX stability is needed to lend it credibility, the report adds.<\/p>\n<p><strong>The report has a series of recommendations for how to reduce perceived risk: <\/strong>These include working to reduce the influence of the EETC, and increasing business-government dialogue. Dispute resolution timeframes should be shortened, and the quality of Egypt\u2019s judicial processes improved. The EGP should be stabilized to maintain the government convertibility guarantee \u2014 a crucial part of boosting investor confidence, it says. Small and medium-sized projects should see increased access to private capital. Renewables projects should continue to receive tax breaks, and fossil fuel subsidy reductions should continue.<\/p>\n<hr class=\"grey-line\">\n<p><strong>Your top climate stories for the
