The tax \u2014 payable only by investors who are tax resident in Egypt \u2014 comes into effect in January 2020, and analysts have welcomed the incentives, even as they suggest they may not go far enough.<\/p><p><strong>And while we\u2019re on the subject, a confirmation:<\/strong> The <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/fc92b9f8-5427-446f-a7dc-2960cc4d17a4\">10% capital gains tax<\/a>on EGX trades coming into effect in January will be calculated on annual net portfolio earnings, not on a per transaction basis, Finance Ministry spokesperson Ragab Mahrous confirmed to us. The basis of calculation was vague in the announcement last week.<\/p><hr class=\"grey-line\"><p><strong>THE BIG STORIES ABROAD- There\u2019s no single story driving the agenda in the foreign <\/strong><strong>press this morning:<\/strong><\/p><ul>\n<li><strong>COP criticism:<\/strong> Some business groups have joined the chorus of criticism directed at the world\u2019s politicians for their inaction at this month\u2019s COP26 conference. (<a href=\"https:\/\/www.ft.com\/content\/a0c01a33-fda3-4918-bead-dba61265ec48\">FT<\/a>)<\/li>\n<li><strong>Yield hunger:<\/strong> Inflation fears are pushing investors into riskier assets as real yields on treasuries turn negative. (<a href=\"https:\/\/www.wsj.com\/articles\/inflation-surge-whips-up-market-froth-11636817049?mod=hp_lead_pos3\">WSJ<\/a>)<\/li>\n<li><strong>Red Tesla:<\/strong> Elon Musk and Bernie Sanders are going at it on Twitter over the leftist senator\u2019s call for a wealth tax. (<a href=\"https:\/\/www.reuters.com\/business\/autos-transportation\/elon-musk-spars-with-bernie-sanders-offers-sell-more-tesla-stock-2021-11-14\/\">Reuters<\/a>)<\/li>\n<\/ul><p><a class=\"content-anchor\" id=\"tldr-story-07\"><\/a> <strong>Central bank orders board shake-up:<\/strong> Egyptian banks will be prohibited from appointing the same person to act as chairman and CEO under <a href=\"https:\/\/ent.news\/2021\/11\/Circular-dated-11-Nov-2021-regarding-amending-some-governance-articles-concerning-BOD-composition.pdf\">amendments to board formation<\/a><a href=\"https:\/\/ent.news\/2021\/11\/Circular-dated-11-Nov-2021-regarding-amending-some-governance-articles-concerning-BOD-composition.pdf\">rules (pdf)<\/a> designed to promote \u201cappropriate diversity\u201d in boardrooms published by the Central bank of Egypt yesterday.<\/p><p><strong>Under the changes, banks must:<\/strong><\/p><ul>\n<li>Appoint a maximum of two executive directors; the rest of the board must be non-executives, including at least two independent non-execs;<\/li>\n<li>Appoint at least two women;<\/li>\n<li>Ensure board representation for minority shareholders (if they hold more than 5% of the bank\u2019s shares).<\/li>\n<\/ul><p><strong>Non-executive members are barred from staying on for more than two terms<\/strong> (or a maximum of six years), though a third term may be possible in exceptional circumstances if the central bank gives its blessing.<\/p><p><strong>There won\u2019t be any immediate reshuffles:<\/strong> Banks don\u2019t need to start complying with the changes until their current board terms end.<\/p><p><strong>PSA- <\/strong><strong>The next time you buy a major home appliance, don\u2019t pay any fees the retailer tacks <\/strong><strong>on to install and \u201cactivate\u201d the warranty.<\/strong> These costs should already be included in the sticker price for white goods, so the services should be provided to consumers without charge, the Consumer Protection Agency said in a notice blasted out by text message yesterday.<\/p><p><strong>WHAT\u2019S HAPPENING TODAY-<\/strong><\/p><p><a class=\"content-anchor\" id=\"tldr-story-04\"><\/a> <strong>All unvaccinated public sector workers <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/547cee89-6af8-4e07-8bb2-777f71b1a861\">will be prohibited from going to the office today<\/a><\/strong> unless they submit to a weekly PCR test at their own expense. University students will also be unable to access campuses without proof of vaccination.<\/p><p><a class=\"content-anchor\" id=\"tldr-story-08\"><\/a> <strong>As of today, auto dealerships have to comply with new consumer protection rules<\/strong> requiring price stickers to be displayed on vehicles. <strong>Market watchers have welcomed a <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ec6afc7f-e068-4bb3-86c2-bf392f54ae26\">basket of EGX-centric tax incentives<\/a><\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ec6afc7f-e068-4bb3-86c2-bf392f54ae26\">and fee cuts<\/a><\/strong><strong> unveiled last week, but they want specifics <\/strong>\u2014 and they\u2019re still not entirely sold on the idea that the incentives will allow domestic investors to swallow the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/fc92b9f8-5427-446f-a7dc-2960cc4d17a4\">10% capital gains tax<\/a> on EGX trades due to come into effect in January 2022.<\/p>\n<p><strong>Okay, before we move on, you need to remember one thing: This story is all about the psychology of domestic investors<\/strong> (retail and institutional) \u2014 folks who are resident in Egypt for tax purposes. Local investors (retail in particular) have been driving trading on the EGX since foreign institutional investors left the market in the early days of the pandemic. As non-residents, foreign investors are exempt from the capital gains tax here.<\/p>\n<p><strong>We\u2019ve been picking up plenty of chatter that foreign investors are rediscovering their appetite for Egyptian equities<\/strong>, with folks on the buy side lining up conference calls with local issuers \u2014 and doing in-person visits and small roadshows to Egypt for the first time since February 2020.<\/p>\n<p><strong>Market reaction to the basket of tax and fee cuts has been muted <\/strong>(the EGX is up just 1.6% in the two sessions since the announcement) <strong>for two reasons:<\/strong><\/p>\n<ul>\n<li><strong>Many traders were clamoring for the capital gains tax (CGT) to be scrapped entirely<\/strong>, Arqaam Capital\u2019s Noaman Khalid reminded us. Brokerage houses are worried the tax will discourage trading volumes and were buoyed by parliamentarians in both the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/3a18b5bd-6aa7-41b8-bc36-97b67821b333\">upper and lower houses of parliament<\/a> who were pushing for the CGT to be scrapped (or postponed yet again). Those bids <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/2c45e62f-5415-4481-a275-8fac65a0483e\">appeared to fizzle<\/a> a little over a week ago.<\/li>\n<li><strong>Traders are still waiting for details<\/strong> on many of the tax and fee cuts (more on that below).<\/li>\n<\/ul>\n<p><strong>Okay, so what are the <\/strong><strong>incentives?<\/strong> The package, announced by cabinet last week, combines fee reductions on EGX trading on the one side, and tax cuts on the other. <strong>Fees that could be slashed include <\/strong>tithes payable to MCDR and the state\u2019s investor protection fund, while a stamp duty on trades by resident investors will be scrapped. Taxes on gains on mutual funds by retail investors would be taxed at a lower 5% rate. <strong>A recalibration of how the CGT is calculated (designed to protect long-time shareholders of a given equity)<\/strong> will also soften the tax\u2019s impact \u2014 and trading, clearance and regulatory fees will be made tax-deductible. Intriguingly, policymakers have also promised <strong>a 50% break within a two-year window on realized capital gains from the sale of shares bought as part of an IPO<\/strong>.<\/p>\n<p>(That last bit also opens the question of whether newly listed companies will face a selling wave ahead of the expiration of the two-year window as investors look to book gains at lower tax rates, but that\u2019s a question for another morning \u2014 and one best answered when the final regulations are handed down.)<\/p>\n<p><strong>At the end of the day, fee cuts \u2014 while most welcome \u2014 will probably have a marginal impact on trading volumes<\/strong>, the analysts we spoke with suggested. The planned cuts to trading and clearing fees won\u2019t have a huge impact on the cost of EGX participation, most of the analysts we spoke with said, with much of the cost coming in the form of (a) brokerage fees and (b) the proposed CGT. <strong>The incoming capital gains tax and the <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/dcd7f4f7-2cb4-4804-b6dc-1895dd922487\">new caps on margin trading<\/a><\/strong><strong> will both impact the market more significantly<\/strong>, they said.<\/p>\n<p><strong>Still: Fee cuts and tax write-offs are better than nothing<\/strong>, and retail investors have a habit of absorbing things like the CGT after a period of foot-dragging and loud complaining and then \u2026 moving on. After all, if you want to trade shares in an Egyptian company, the EGX is basically the only game in town.<\/p>\n<p><strong>It\u2019s still unclear how much the cuts to EGX trading fees are worth. <\/strong><a href=\"https:\/\/bit.ly\/3Dftq4N\">Local press<\/a> reports yesterday claimed to have the exact percentages of the tax and fee cuts investors would be getting. A Financial Regulatory Authority (FRA) official we spoke with under condition of anonymity tells us that these were figures suggested by stakeholders and were not necessarily the numbers the FRA plans to make official. <strong>The extent of the fee cuts will be decided at the FRA\u2019s next board meeting<\/strong>, the official said, which has yet to be scheduled.<\/p>\n<p><strong>At the end of the day, the EGX has one primary problem<\/strong>, the analysts suggest: We\u2019re not adding large-cap, blue chip stocks fast enough, leading to low trading volumes and a lack of liquidity, Arqaam\u2019s Khalid told us. Most analysts echoed similar sentiments. New listings by large state-owned firms have proven to reinvigorate other regional exchanges, Khalid said.<\/p>\n<p><strong>The 50% break on gains made by domestic investors on new IPOs within a two-year window will help spur IPO activity<\/strong>, Prime Holding\u2019s Amr Elalfy told us. The move makes both primary and secondary offerings attractive, Sara Saada, senior economist at CI Capital, wrote in an email. The two-year break is good news for the recently rebooted state privatization program: \u201cWe see the two-year tax rate cut on offerings as beneficial to the government\u2019s plan to offer four to six companies in FY21\/22, along with the private sector pipeline,\u201d she wrote. <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/1d8882ad-0530-40c5-b5e5-e472122c978d\">Changes brought in to ease listing requirements<\/a> will also help, Elalfy added.<\/p>\n<p><strong>Which IPOs could we be seeing soon?<\/strong> Despite much buzz about both state-owned and private IPOs coming down the pipeline following e-Finance\u2019s EGP 5.8 bn IPO, it\u2019s been all quiet on the listing front so far since then. <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/65a4c41c-1aae-494a-9c5b-be28022cbb3d\">Ghazl El Mahalla<\/a>sports club could make a small splash with its EGP 135 mn sale planned for November, and e-Finance has suggested it could separately list <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/8688dd34-1172-476a-879c-52cb7420d2ad\">two of its subsidies<\/a>. <strong>On the private-sector side<\/strong>, <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/98bcedd8-3687-4806-9a48-9efe1527cb04\">Abu Auf<\/a> announced this fall that it would go to market in the first half of next year, but <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/41f12ac1-51f9-49c7-ad9e-9955e248aa88\">Macro Pharma<\/a>, and <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/e2288438-1757-4a28-b7a4-8060a362753b\">non-bank financial services player Ebtikar<\/a> have been silent as of late about their plans.<\/p>\n<p><strong>SPEAKING OF IPO NEWS-<\/strong><\/p>\n<p><a class=\"content-anchor\" id=\"tldr-story-02\"><\/a> <strong>Al Gioshy Steel is considering an IPO on the EGX <\/strong>and wants to list on the bourse as soon as market indicators improve, company CEO Tarek Al Gioshy told CNBC Arabia (<a href=\"https:\/\/www.youtube.com\/watch?v=iSYfpwanP7Y\">watch, runtime: 4:21<\/a>), without disclosing further information.<\/p>\n<p><strong>It\u2019s been a while since we\u2019ve heard \u201cAl Gioshy\u201d and \u201cIPO\u201d in the same sentence:<\/strong> The <sup><\/sup>steel manufacturer <a href=\"https:\/\/enterprise.press\/stories\/2019\/06\/24\/algioshy-steel-plans-egypt-ipo-in-2020\/\">said back in June 2019<\/a> that it was looking to offer up to 25% of its shares in Cue several months of haggling between the Egyptian government and the ship\u2019s ins. companies, which was settled in July with <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/7338a482-1d8a-4ede-8eb7-7ff758f0fae2\">a reported payout of USD 540 mn<\/a> to the Suez Canal Authority.<\/p>\n<p><strong>The National Navigational Company is just one strand of a litigation nightmare being faced by ship owner Shoei Kisen and its ins. companies<\/strong>, which could be in for years of lawsuits as those affected by the incident file claims and seek damages. Gas exports have been given a boost by the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/3613f080-5d75-4b85-af31-1b66fcda3204\">return of the<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/3613f080-5d75-4b85-af31-1b66fcda3204\">Damietta liquefaction plant<\/a>, which shipped 600k tonnes of LNG during the quarter and 1.6 mn tonnes since it was brought back online in February.<\/p><p><strong>Edita plans to expand to two new markets in the next five years, with one<\/strong><strong> expansion slated for next year<\/strong>, CEO Hani Berzi told <a href=\"https:\/\/bit.ly\/30tktGO\">Al Mal<\/a>. Edita has not yet allocated a specific budget or timeline for the expansion, IR director Menna Shams El Din told Enterprise. Why is this? <\/strong>Unlike schools in the UK and US, very few of Egypt\u2019s K-12 private for-profit schools offer academic or non-academic scholarships designed to broaden access. Private schools are legally obligated to set aside 5% of their collective annual tuition fees to offer financial aid, but discounts usually go to existing students whose families are facing financial hardship, under a charitable model, as <a href=\"https:\/\/enterprise.press\/blackboards\/scholarships-arent-popular-egypts-k-12-private-schools-heres\/\">we reported last week<\/a>. Today we ask why that is.<\/p>\n<p><strong>A matter of costs and a lack of desire to broaden access: <\/strong><sup><\/sup>Officials we\u2019ve spoken with agree this is a trend, offering several compelling suggestions as to why. Cost appears to play a role: there\u2019s little advantage to the private school for-profit business model in offering scholarships \u2014 which are expensive to sustain. But sources also note that enhancing accessibility to top private schools is really not a priority \u2014 or even a conversation taking place \u2014 within the broader community.<\/p>\n<p><strong>For Egypt\u2019s private K-12 schools, offering scholarships isn\u2019t seen as necessary for their business models. <\/strong>\u201cMost private schools here have such long waiting lists, that they don\u2019t need to offer scholarships from a business perspective,\u201d says one school leader, speaking off the record.<\/p>\n<p><strong>For international schools in particular, high tuition fees come with the territory:<\/strong> For international schools, in Egypt and the region, high tuition fees are factored into their business models, notes AIS Director Kapono Ciotti. \u201cThese schools are expensive to run and usually exist for a purpose,\u201d he adds. \u201cThey\u2019re either serving local clientele, who can afford to send their children to them. Or they\u2019re serving international clientele who are in the country for a reason. Then the prevailing thought is that their employers can afford to pay for the schools.\u201d El Alsson Executive Director Karim Rogers conveys a similar message: \u201cI wouldn\u2019t say we\u2019re substantially expensive, but we are an expensive school relative to others.\u201d <strong>CAC and BISC \u2014 <\/strong>both <a href=\"https:\/\/top10cairo.com\/top-10-schools-in-cairo\/\">widely believed<\/a> to be among the most expensive of Cairo\u2019s international schools <strong>\u2014 didn\u2019t respond to our requests for comment<\/strong> on issues addressed in this story.<\/p>\n<p><strong>It\u2019s normal to see more interest in offering scholarships in higher education as a means of making a more direct, short-term, impact.<\/strong><sup><\/sup> Generally, scholarship providers are more interested in funding programs of relatively short duration, where beneficiaries have demonstrated a clear commitment to their goals, Newton Education Services Director Nelly Elzayat tells Enterprise. This way, providers aren\u2019t committing funds for a very long period, and they feel they\u2019re making a very focused investment, she adds.<\/p>\n<p><strong>\u201cEven at the university level, we also see more people wanting to fund graduate scholarships than undergraduate scholarships in Egypt, for this reason,\u201d<\/strong> says Elzayat. And I think you can apply the same logic to K-12 scholarships.\u201d Ciotti agrees that this is an observable trend, even globally. \u201cThe higher up you go, the more interest there is in funding scholarships.\u201d<\/p>\n<p><strong>But beyond financial considerations, some seem to not want to broaden access in K-12 private schools altogether:<\/strong> There are many social reasons for limiting financial aid and access to private K-12 schools, says Rogers. Offering financial aid to students from very underprivileged backgrounds would see private schools inundated with scholarship requests, while children from marginalized backgrounds would have trouble integrating, he believes. Of El Alsson, he notes \u201cwe are a socially selective school.\u201d<\/p>\n<p><strong>\u201cI think class systems in Egypt are perceived and accepted as fairly static,\u201d <\/strong>notes Ciotti. The idea of transcending class \u2014 so prevalent in the US as a concept \u2014 doesn\u2019t really apply in Egypt, he adds.<\/p>\n<p><strong>Some are trying to change this:<\/strong> Egypt Education Platform (formerly GEMS Egypt) <sup><\/sup><sup><\/sup>\u2014 one of the very few institutions we found that does offer academic scholarships \u2014 says it\u2019s specifically trying to increase diversity. EEP sees its platform as one that offers quality education to all segments, says Director of Communications Amr Sherif. \u201cYou\u2019ll find diversity in our programs, where we give these chances because we want to enable our students to develop their skills.\u201d<\/p>\n<p><strong>Sherif notes that talented students from less wealthy backgrounds clearly benefit academically from formal scholarship programs: <\/strong>One EEP scholarship beneficiary moved from a national curriculum school to an international curriculum school, and is now one of the top in her class academically, as well as being a great athlete, says Sherif.<\/p>\n<p><strong>El Alsson, which doesn\u2019t offer formal academic scholarships, also saw positive results from sponsoring a talented student \u2014 but as a charitable endeavor. <\/strong>El Alsson co-sponsored an academically outstanding student, after being approached by the parents of an existing student who suggested the idea as charity, says Rogers. \u201cWe did this for one student, who was a genius. He did come from a different social background. The parents who suggested it told us he was phenomenal. They sponsored a bit and we sponsored the rest.\u201d<\/p>\n<p><strong>But across the board, increasing social diversity at Egypt\u2019s private schools doesn\u2019t seem to be a priority. <\/strong>It\u2019s seen as much more pressing to support less financially privileged students to go to good universities than to support them to go to top schools, note Elzayat and Eduhive\u2019s Karim Mostafa. \u201cAt the university level, even a lay person knows that some people, if they don\u2019t get financial support, won\u2019t make it to university,\u201d says Elzayat. \u201cBut people don\u2019t make the same connection at the K-12 level.\u201d<\/p>\n<p><strong>For many, the idea simply isn\u2019t on their radars: <\/strong>Within the K-12 industry, the perception is that because K-12 education is mandatory, parents will do everything they can to ensure their children can access the best prospects available to them, says Sherif. \u201cSo I don\u2019t think most K-12 schools think scholarships or financial aid is necessary.\u201d Elzayat agrees: \u201cThere\u2019s an assumption that everyone will end up going to school somehow.\u201d The idea of giving more people access to better schooling isn\u2019t on many people\u2019s radars, she adds.<\/p>\n<p><strong>I<\/strong><strong>t\u2019s worth noting that AUC \u2014 generally regarded as Egypt\u2019s most elite institution \u2014 has a scholarship program specifically to enhance accessibility. <\/strong>The <a href=\"https:\/\/www.aucegypt.edu\/admissions\/scholarships\/egyptian-students\/egyptian-public-schools\">Public School Scholarship Fund (PSSF)<\/a> targets Egyptian public school graduates, covering tuition and fees for all recipients, and housing and transportation for some. \u201cAUC's scholarship program is designed to increase access to AUC and ensure we\u2019re recruiting the very best
