But what\u2019s preoccupying our thoughts? Ukraine.<\/p>\n<p><strong>THE QUESTION OF THE WEEK- Are we looking at what could be the most significant <\/strong><strong>land war in Europe since the Second World War? <\/strong>\u201cSwift and severe costs\u201d is the quote splashed across the front pages of the international press this morning. That\u2019s what US President Joe Biden yesterday promised Russian President Vladimir Putin would be in store for him and his country if Ukraine is invaded. The threat \u2013 and whatever else was said on the hour-long call \u2014 failed to deliver a breakthrough: US officials continue to brief of an imminent Russian attack on Ukraine, which Russia continues to characterize as absurd. Meanwhile, Germany and a handful of other countries have followed the US\u2019 lead by advising their citizens in Ukraine that it's time to get out of Dodge.<\/p>\n<p><strong>Embassies are moving personnel out of Kyiv <\/strong>and more than 30 Russian ships have set sail in the Black Sea for what Moscow says are exercises. Everyone has more on the story, from the <a href=\"https:\/\/www.nytimes.com\/live\/2022\/02\/12\/world\/russia-ukraine-news\">New York Times<\/a>, the <a href=\"https:\/\/www.washingtonpost.com\/world\/2022\/02\/12\/ukraine-russia-putin-biden-belarus\/\">Washington Post<\/a> and the <a href=\"https:\/\/www.wsj.com\/articles\/biden-to-talk-with-putin-as-u-s-warns-of-russian-invasion-of-ukraine-11644659540?mod=hp_lead_pos1\">Wall Street Journal<\/a> to <a href=\"https:\/\/www.reuters.com\/world\/biden-putin-speak-ukraine-warnings-mount-2022-02-12\/\">Reuters<\/a>, <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2022-02-12\/biden-and-putin-hold-high-stakes-call-as-ukraine-tensions-spike?srnd=premium-middle-east&sref=mmeFTDW1\">Bloomberg<\/a> and the <a href=\"https:\/\/www.ft.com\/content\/214559c2-c5f1-414e-a6f3-8d8fbea9ec30\">Financial Times<\/a>.<\/p>\n<p><strong>Why are we leading with this? We have a lot at stake here<\/strong>. Russia and Ukraine are key tourism markets for Egypt \u2014 and two of our most important suppliers of wheat. And that\u2019s to say nothing of the fact that global markets tend not to like shooting wars\u2026<\/p>\n<p><strong>HAPPENING TODAY- <\/strong><\/p>\n<p><strong>The Senate is set to finish its discussion of the <\/strong><strong>draft Labor Act during plenary <\/strong><strong>sessions today and tomorrow,<\/strong> according to <a href=\"https:\/\/english.ahram.org.eg\/News\/460963.aspx\">Ahram Online<\/a>. The Senate has already approved several articles in the new act, which is set to be passed onto the House of Representatives for final approval. The law would, if enacted, extend both maternity leave and notice periods, cap working hours, and change minimum raise increments, among other things. <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ae083a4f-781c-443d-ad37-ab705d0103ee\">We have an explainer on the bill\u2019s finer points here.<\/a><\/p>\n<p><strong>ALSO- The <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/f367e03e-6de0-4e5c-8a74-8d404b059219\">draft ins. Act<\/a><\/strong><strong> is up for debate at the Senate\u2019s Financial Affairs Committee<\/strong> today and tomorrow, Ahram Online reports. The bill would make the Financial Regulatory Authority the primary regulator for the ins. sector and make ins. compulsory for SMEs and freelancers.<\/p>\n<p><strong>PSA- Companies that are r<\/strong><strong>equired to sign up to the sixth phase<\/strong><strong> of the rollout of the <\/strong><strong>government\u2019s electronic invoicing platform must do so by Tuesday<\/strong>, Amwal Al Ghad reports. Over 31k <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/dd71a905-06a7-4e5b-a5d1-42a1ca1dc557\">companies had signed<\/a> up by January to the tax authority\u2019s e-invoicing system for B2B transactions, <a href=\"http:\/\/20.50.48.69\/\">Egyptian eInvoicing<\/a>.<\/p>\n<p><strong>The government will unveil its green stimulus package before the end of the fiscal<\/strong> <strong>year in June<\/strong>, Finance Minister Mohamed Maait <a href=\"https:\/\/www.facebook.com\/EgyptianCabinet\/posts\/336199661883794\">said<\/a> Friday. The policy, which was <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/3a740387-62e6-4e6a-b5ef-f07d6bef5c1a\">initially slated<\/a> to be announced in March, will provide targeted financial incentives to encourage sustainable and carbon emission-reducing projects. The amendments would, if passed, only apply the lump sum amount to properties that were sold before 19 May, 2013 \u2014 when the law was originally issued. Any sales after that date would still be subject to the same 2.5% tax. Urban inflation rose to 7.3% last month from <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/e8bb1d8d-f765-4ef6-bccb-73f889b098b1\">5.9%<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/e8bb1d8d-f765-4ef6-bccb-73f889b098b1\">in December<\/a>, recording its highest rate since August 2019. On a monthly basis, consumer prices went up by 0.9%.<\/p>\n<p><strong>Food prices were the main drivers: <\/strong>Food and beverage costs (which make up the largest component of the basket of goods used to measure prices) rose at their quickest pace in 32 months, fueling the increase in the headline rate. Prices were up 12.4% y-o-y, up from 8.4% in December, mainly due to rising oil, vegetable and meat prices.<\/p>\n<p><strong>Annual core inflation continued to accelerate<\/strong>, hitting 6.3% from 6% in December, according to the <a href=\"https:\/\/ent.news\/2022\/2\/CPI_press-release_Jan-2022.pdf\">CBE (pdf)<\/a> \u2014 its fastest expansion since June 2019. Core inflation removes volatile items such as food and fuel.<\/p>\n<p><strong>The rising figure came in line with most analysts\u2019 expectations<\/strong><em>:<\/em><em> <\/em>January\u2019s reading came in line with EFG Hermes\u2019 prediction of 7.2%, according to a note to clients by chief economist Mohamed Abu Basha. CI Capital\u2019s had penciled in 7.34% y-o-y, according to an emailed note. Al Ahly Pharos\u2019 Israa Ahmed said in a note the surge in inflation was expected due to \u201cseasonal factors.\u201d Beltone Financial, however, had penciled in lower inflation of 6.4% in January, according to an emailed note.<\/p>\n<p><strong>Inflation remains within the central bank\u2019s target range:<\/strong> Despite reaching its highest level in two and a half years, the annual rate remains within the Central Bank of Egypt (CBE)\u2019s target range of 7% (\u00b12%) by 4Q2022.<\/p>\n<p><strong>Also notable: <\/strong>Housing and utility prices rose by 4.7% y-o-y, driven by higher energy costs, while transport costs rose 4.9%. Clothing and footwear prices rose 3.4% y-o-y.<\/p>\n<p><strong>Higher inflation is coming, say the experts: <\/strong>\u201cWe expect the annual inflation to slightly increase to around mid-7%, and the whole quarter to record pretty much the same level, unless there are any positive surprises for vegetables or meat prices,\u201d Ahmed said. The company had acquired a nutritional supplement company in 4Q2021, Wasfy also said, without disclosing the name or value of the acquisition.<\/p>\n<p><strong>The IPO:<\/strong> Macro\u2019s IPO saw it sell 264.5 mn shares (equivalent to a 45.8% stake) at EGP 4.85 apiece, valuing the company at around EGP 2.8 bn. Shareholder Leo 1 \u2014 a special purpose vehicle that held 99.9% of Macro \u2014 sold the shares in a secondary sale, according to a <a href=\"https:\/\/ent.news\/2022\/2\/EFG-Hermes-Macro-Group-IPO-English-PRL.pdf\">statement (pdf)<\/a> from EFG Hermes, which quarterbacked the transaction. Shares in the cosmeceuticals firm rose as much as 15% on Thursday before falling back to close at EGP 4.51, below their EGP 4.85 opening price.<\/p>\n<p><strong>Strong investor interest:<\/strong> The IPO saw around 5.6k investors participating in the retail and institutional offerings, according to <a href=\"https:\/\/ent.news\/2022\/2\/macro_ar_10-02-2022_english.pdf\">an EGX statement (pdf)<\/a>, around half of whom were new investors. The institutional offering \u2014 which was allocated 95% of the shares \u2014 was <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/18e68f20-0bbf-4f69-afae-028e84e5bb77\">1.8x oversubscribed<\/a>, while the retail component saw stronger demand, <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9ab7ae42-c6bb-432f-b092-99fe1ecf890a\">closing 102x oversubscribed<\/a>.<\/p>\n<p><strong>IPO momentum picking up?<\/strong> Macro\u2019s debut on the bourse marks our second IPO of the year, after Al Khair River for Development and Investment (aka Nahr El Khair) got the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/44602de4-83db-4e3b-8824-72e172f69aac\">ball rolling last month<\/a>. Macro\u2019s IPO comes as the government is gearing up to revive the state privatization program this year, with Prime Minister Moustafa Madbouly, Planning Minister Hala El Said, and Finance Minister Mohamed Maait all signaling over the past couple of weeks that we should expect to see <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/341bd556-a758-49d4-9aa9-1852ae8a3d9f\">several state listings<\/a> this year. More of the same<\/strong>, according to Mohamed Ghannam, managing partner at Helmy, Hamza & Partners, Baker McKenzie Cairo Managing, who said large transactions in tech, education, healthcare, oil and gas, and telecoms lead the firm to expect a strong year ahead for M&A. Both domestic and international companies are driving activity.<\/p>\n<p><strong>For the full year in 2021: <\/strong>Companies closed 233 transactions in 2021 (+49% year-on-year) while total transaction value rose 486% to USD 9.9 bn.<\/p>\n<p><strong>The number of transactions rose in the second half: <\/strong>Egypt saw 116 M&A transactions during 2H2021, up from 111 in the first half of the year and up 38% from the same period last year.<\/p>\n<p><strong>As did the value of transactions: <\/strong>Transactions worth USD 4.3 bn closed in the second half of the year, up a bit from <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/af294179-177a-48f4-8ea9-33dfb099500e\">USD 4 bn during 1H2021<\/a> \u2014 and more than 5x higher than the equivalent period in 2020<\/p>\n<p><strong>The second half of 2021 saw the completion of some of the biggest acquisitions of the year<\/strong>, with the Aldar Properties-ADQ consortium <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ae3ee729-0f45-470b-a78c-bbd118ced392\">finalizing their<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ae3ee729-0f45-470b-a78c-bbd118ced392\">USD 338.2 mn<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ae3ee729-0f45-470b-a78c-bbd118ced392\">takeover<\/a> of leading real estate developer SODIC, and EFG Hermes and the Sovereign Fund of Egypt <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/a015541a-1a21-48dd-80d4-3dd23dd9d76b\">closing their acquisition<\/a> of a combined 76% stake in the Arab Investment Bank for USD 241.9 mn.<\/p>\n<p><strong>Cross-border transactions accounted for the bulk of Egypt\u2019s M&A during the period<\/strong>, with domestic acquisitions making up less than 20% of the total value. Most cross-border M&As were inbound, helping to make Egypt the second most popular target country in the world after the US, according to Refinitiv. \u201cThis interesting finding further supports the economic growth that the country has been witnessing since the beginning of 2021 and post-pandemic uncertainties in various fields and industries,\u201d said Hani Nassef, M&A partner at Helmy, Hamza & Partners, Baker McKenzie.<\/p>\n<p><strong>The healthcare field was the top-target for inbound investors<\/strong> in terms of transaction value, with a total of USD 1.6 bn for the whole year.<\/p>\n<p><strong>Global M&A had its biggest year on record in 2021:<\/strong> Transactions worth USD 5.9 tn were completed in 2021, which is the biggest year for global M&A since records began in 1980.<\/p>\n<p><strong>And the Middle East region wasn\u2019t bad, either<\/strong>, seeing some USD 49.5 bn worth of transactions during 2H2021 and USD 89.8 bn during the year, up 58% from 2020.<\/p>\n<hr class=\"grey-line\">\n<p><strong>In other M&A news-<\/strong><\/p>\n<p><strong>Abu Dhabi-based International Holding Co (IHC) is searching for acquisition <\/strong><strong>targets <\/strong><strong>in Egypt<\/strong>, CEO Syed Basar Shueb told <a href=\"https:\/\/www.reuters.com\/lifestyle\/sports\/athletics-olympic-champion-jacobs-marks-return-action-with-win-berlin-2022-02-08\/\">Reuters<\/a> in an interview, without providing further information.<\/p>\n<p><strong>IHC\u2019s Egypt footprint:<\/strong> The Emirati conglomerate owns or has stakes in at least three companies in Egypt, according to data available on its website. Alongside Al Hashemiya for Land Reclamation and Cultivation, which it acquired in April 2020, it also owns 33% of Canal Sugar and in 3Q2021 acquired 49% of the Challenge Egyptian Emirates Marine Dredging Company, a joint venture with the Suez Canal Authority.<\/p>\n<p><strong>IHC could IPO its healthcare business <\/strong><strong><a href=\"https:\/\/purehealth.ae\/\">Pure Health<\/a><\/strong><strong> in 2Q2022 or early in 3Q<\/strong> after its merger with Abu Dhabi Health Services has been completed, Shueb added. While Egypt\u2019s sovereign credit rating generally has a stable outlook from the top three rating agencies (S&P Global, Moody\u2019s, and Fitch), Asian markets do not usually rely on them to assess bonds. The Supply Ministry is working <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/217bd2c8-c468-4975-b723-ba0e372c9b2c\">on several scenarios<\/a> that would see the government taper bread subsidies as rising international prices pressure the state budget, with a final decision expected at the end of March.<\/p>\n<p><strong>Spiraling global wheat prices are squeezing the state purse: <\/strong>The rise in global wheat prices will cost us an additional EGP 12 bn this fiscal year, Finance Minister Mohamed Maait <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/30bc9b32-0682-476e-b93c-cd733864721d\">said last month<\/a>. The latest investment means the company has now raised USD 5 mn to date after <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/2e8fcedc-3d55-445b-937a-f7bb87bca505\">closing an undisclosed seed round<\/a> last year, also led by the Sawiris family office with participation from angel investors including Etisalat Group CEO Hatem Dowidar.<\/p>\n<p><strong>About the company:<\/strong> Nawy is a real estate search engine that also offers property financing via its brokerage arm. Since launching in 2016, the firm has helped more than 60k people find homes and more than USD 200 mn worth of properties have been sold via its website, according to a company <a href=\"https:\/\/ent.news\/2022\/2\/Nawy-Feb-2022-PR-Eng.pdf\">statement (pdf)<\/a>. Nawy saw its revenues grow 5.4x during 2021, Rafea told us.<\/p>\n<p><strong>The money will go towards new staff + new services:<\/strong> The company will use the funding to launch new marketing campaigns, add to its 200-strong headcount to expand its tech and products teams, and explore adding new services to its platform. \u201cWe are studying the long- and short-term rentals market as well as property management services,\u201d Rafea said. \u201cWe want to facilitate and refresh the secondary market which is very slow compared to new properties.\u201d<\/p>\n<p><strong>It\u2019s also looking outside of Egypt:<\/strong> The company is planning to expand to several markets outside of Egypt. \u201cWe\u2019re thinking of the UAE and Saudi Arabia. We\u2019re also considering South Africa. <\/strong><strong>spectrum<\/strong><strong> in 2020<\/strong> when it <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/60c7d655-d5e0-4f32-953a-d5b1b103499e\">purchased two 10 MHz bands<\/a> for USD 325 mn as part of a government tender that also saw Vodafone Egypt and Telecom Egypt acquire 60 MHz between them.<\/p>\n<p><strong>Etisalat\u2019s spending plans:<\/strong> The UAE-based firm will spend EGP 5-5.5 bn to upgrade its services this year, Metwally said.<\/p>\n<p><strong>Background:<\/strong> Mobile network operators have repeatedly asked the NTRA to provide access to new bandwidth <a href=\"https:\/\/enterprise.press\/stories\/2017\/12\/06\/mnos-officially-submit-requests-for-additional-4g-frequencies-ict-ministry-promises-5g-licenses-by-2020\/\">since class=\"content-anchor\" id=\"tldr-story-10\"><\/a> <strong>The status of superapps in Egypt \u2014 Part 3: the investment case: <\/strong>We <a href=\"https:\/\/enterprise.press\/whatsnexts\/egypt-mea-fertile-ground-super-apps\/\">opened<\/a>our exploration into superapps by looking at how Egypt and the MENA region are ideal locations for them, thanks to a high population and phone penetration. <a href=\"https:\/\/enterprise.press\/whatsnexts\/status-superapps-egypt-challenges-investor-perspective\/\">Last week<\/a> we looked at the main challenges superapps face, including the ceiling they face when acquiring new customers and the subsequent customer acquisition costs. Today, we look at how they overcome these challenges and avoid unnecessary cash burn. We also speak to investors on why despite the challenges, super apps are still worth the investment.<\/p>\n<p><strong>It\u2019s not about the size of the customer base, it\u2019s about the loyalty, stupid: <\/strong>In a bid to acquire new customers, some businesses slide into the pitfall of offering promo codes and lower prices on services on the superapp. While the customer does have a clear incentive to use the application, the company needs to either lower its margin or come up with the difference in cost. These techniques have become so popular that users just jump from one app to the next, depending on where the markdown is, CEO and founder of delivery company <a href=\"https:\/\/yallafelsekka.com\/\">Yalla Fel Sekka<\/a> (YFS) Yasmine Abdelkarim tells us. So, the real victor here is the user, but it also decreases customer loyalty, or \u201cstickiness.\u201d<\/p>\n<p><strong>That\u2019s why superapps focus on offering new services that increase customer loyalty, which could help lower customer acquisition costs.<\/strong> MNT-Halan introduces new features daily, such as bill payments, games, and peer-to-peer transfers to increase adoption, founder and CEO Mounir Nakhla tells us. So, it is not just about acquiring new customers, but making sure the ones you have also stick around. And new features allow superapps to increase convenience, which ultimately is what a customer is looking for, and thus, attract new ones while expanding the app\u2019s revenue-pool.<\/p>\n<p><strong>It\u2019s about finding the edge you have over your competitors.<\/strong> Outdoing the competition in terms of user experience and adding new features and value propositions is also what Yalla Super App is trying to do, according to PaySky founder Walid Sadek.<\/p>\n<p><strong>Wait, doesn\u2019t that raise overhead and we\u2019re back to square one? <\/strong>The key is to make sure your existing infrastructure and fleets are able to handle both legacy services and new ones. In order not to fall into an operations-induced cashburn, superapps add services that can be fulfilled via delivery channels they already have. It\u2019s about leveraging operational processes that are already in place for all new and old services, managing partner at Algebra Ventures, and early investor in MNT-Halan, Karim Hussein tells us. The drivers of the fleet can fulfill the services of ride-hailing, POS-payments, and delivery at the same time, for instance, he adds. \u201cIf the unit economics of every additional service is positive, then the cash burn is reduced,\u201d Nakhla says. \u201cCross-selling [as we noted last week] makes you divide the customer acquisition cost and operational expenses by more revenue streams,\u201d he adds. Hence, the more services you have, the less the burn if each service has positive unit economics.<\/p>\n<p><strong>When all is said and done, why are investors still attracted to superapps? First of all, it\u2019s a matter of scale: <\/strong>\u201cSuperapps happen to be a scaling opportunity, as an evolution of the investment that you make, because it helps you tap into bigger customer bases,\u201d managing director at Openner Ahmed Elsherif tells us. Superapps usually do not start out as such. Most of them started out by offering a certain service: MNT-Halan for instance, started with tuktuk ridehailing, and Yalla Super App started as a fintech player. This is how they built depth, partner at Emirati VC firm Shorooq Partners Tamer Azer explains, adding that they then added more services in different verticals. What they need to do now is get really good at cross-selling so they can build breadth. The final step is to get customers to stick around and use more and more of these services, he says.<\/p>\n<p><strong>Superapps do not need to be a mass market play if they can serve certain segments: <\/strong>These apps can aggregate a variety of services that cater to a particular kind of user, like education or healthcare professionals. If you perfect capturing value for that certain segment, you can unlock and build a plethora of offerings and services, Elsherif says. This could result in a reduction of customer acquisition costs and healthier margins, he adds.<\/p>\n<p><strong>But to be able to do that, superapps need to start with a targeted robust core value proposition in their domains to be \u201cinvestable\u201d,<\/strong> Elsherif says. By value proposition we mean that core service or product that truly makes you useful to that user segment. Azer agrees, saying that in order to flourish, superapps need three things: Firstly, a clear hook that has a powerful value proposition to attract customers. Secondly, excelling at cross-selling, and thirdly, a tremendous amount of capital to make that happen.<\/p>\n<p><strong>Lastly, superapps need to religiously use their data to cater to their customers: <\/strong>\u201cBeing a superapp should not be the goal in itself, but companies should rather use data to see what additional services they can provide their customers and how to be more inclusive,\u201d managing partner of Lotus Capital Amal Enan says. This requires investment in and utilization of data to understand your customers better to develop a more robust product. \u201cYou want to meet your customers where they are with what they need,\u201d she tells us.<\/p>\n<p><strong>As to better leverage their position as fintech plays, investors feel the industry needs e-KYC. <\/strong>The real \u201cmarket changer\u201d would be digital KYCs, Sadek says. e-KYC \u2014 jargon for a fully digital know-your-customer process \u2014 allows platforms to verify a customer\u2019s identity and address electronically, instead of having to appear physically at a bank branch and do loads of paperwork. There are already some steps into that direction, with the <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/20146143-119c-4605-af05-60b47d84a431\">CBE allowing Egyptians to open bank accounts with just a national ID<\/a>, while micro enterprises, freelancers, and craftsmen are now also able to open an account by declaring their occupation, instead of requiring proof of employment from a company or other requirements to document their income.<\/p>\n<p><strong>For now, superapps are quietly growing:<\/strong> In addition to the traction we noted last week being seen by major superapps here, new players seem to be quietly entering the scene. For instance, grocery delivery and bakery app <a href=\"https:\/\/www.breadfast.com\/en\/\">Breadfast<\/a> offers customers a chance to order groceries, freshly baked goods, and your daily cup of coffee. An update launched just a few weeks ago also allows Breadfast users to pay a number of bills, including water, electricity, and phone bills.<\/p>\n<p><strong>But how things unfold is still a bit uncertain. <\/strong>\u201cOn the capital front, we still don\u2019t know if the Asian model is going to work in Egypt or not,\u201d Azer explains. Superapps require a tremendous amount of capital to scale and the local startup landscape is still young, he says, adding that \u201cwe need to build those deep pockets that can finance the network effect\u201d. But if we can bring international, more specifically Asian capital, into the equation we will start seeing some really interesting activity in the space, Azer concludes.<\/p>\n<hr
