The multi-brand higher education company\u2019s hotly anticipated IPO marks the first real listing on the EGX since late 2019 \u2014 and sets up a string of IPOs that we hope will bring institutional investors back in from the sidelines. Next up before this year\u2019s first IPO window closes: The IPO of cosmeceutical giant <strong>Macro<\/strong> and the technical listing of consumer healthcare outfit <strong>IDH<\/strong>. We have chapter and verse in this afternoon\u2019s Speed Round, below.<\/p>\n<p>Oh, and we have news of two big M&A today, too. <strong>It\u2019s a great day for finance nerds<\/strong>.<\/p>\n<p><strong>CATCH UP QUICK<\/strong> on the top stories from this morning\u2019s issue of EnterpriseAM:<\/p>\n<ul>\n<li><strong>IMF more upbeat on global growth<\/strong>, says covid-end \u201cincreasingly visible.\u201d The IMF <strong>upgraded Egypt\u2019s growth projection<\/strong> for FY2021-2022 by 0.2 percentage points to 5.7%, up from its 5.5% growth forecast in January. <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/83398725-78cf-440c-ae45-be20ca82835e\">Output is expected to accelerate to 5.8% by FY2025-2026<\/a>.<\/li>\n<li><strong>The Madbouly government delivered a primary surplus of EGP 25 bn<\/strong> during the first nine months of FY2020-2021, despite the economic shock of the coronavirus heaping pressure on public finances, Finance Minister <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/e7b85d26-d96d-4024-b68e-ab4773f490c6\">Mohamed Maait said yesterday<\/a>.<\/li>\n<li><strong>Covid cases are rising in Egypt again + we have an agreement to make Sinovac<\/strong> here at home. It\u2019s the less popular sibling of the Sinopharm vaccine now being deployed in Egypt, but still appears to protect against <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0b05a266-cfd0-4843-a495-2434a6187cd1\">100% of \u201chospitalized, severe and fatal\u201d cases of covid-19<\/a>.<\/li>\n<li><strong>Algebra Ventures doubles down on Egypt with USD 90 mn fund<\/strong>, with a <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0b05a266-cfd0-4843-a495-2434a6187cd1\">first close<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0b05a266-cfd0-4843-a495-2434a6187cd1\">expected in 3Q2021<\/a>.<\/li>\n<\/ul>\n<p><strong>HAPPENING NOW- Egypt\u2019s digitization drive just got a shot in the arm <\/strong>after President Abdel Fattah El Sisi this morning inaugurated a centralized records center that will use \u201csmart technology\u201d to help eliminate the counterfeiting of official documents, <a href=\"https:\/\/www.facebook.com\/Egy.Pres.Spokesman\/posts\/1127099337809445\">Ittihadiya said<\/a>. The new facility will set nationwide standards to authenticate everything from passports to university graduation certificates and national ID cards (which will in the future be chipped). It will create databases that will include biometric data and be linked to all state bodies \u2014 and secured against cyberattacks. <a href=\"https:\/\/www.elwatannews.com\/news\/details\/5421645\">El Watan<\/a> has more.<\/p>\n<p><strong>THE BIG STORY ABROAD- Depending on who you ask, it\u2019s the end times (for the stock <\/strong><strong>market) or the best of times (for the market and the global economy). <\/strong>Capturing the global business press\u2019 imagination this afternoon is JPMorgan Chase boss Jamie Dimon, whose <a href=\"https:\/\/reports.jpmorganchase.com\/investor-relations\/2020\/ar-ceo-letters.htm\">annual letter to shareholders<\/a> makes the bold claim that the US economy is about to go on a two (or more) year tear. \u201cI have little doubt that with excess savings, new stimulus savings, huge deficit spending, more QE, a new potential infrastructure bill, a successful vaccine and euphoria around the end of the pandemic, the U.S. economy will likely boom. <strong>This boom could easily run into 2023<\/strong> because all the spending could extend well into 2023,\u201d Dimon writes.<\/p>\n<p><strong>Dimon\u2019s call tops the front pages<\/strong> of the <a href=\"https:\/\/www.wsj.com\/articles\/jpmorgan-ceo-jamie-dimon-sees-goldilocks-moment-for-u-s-economy-11617791403?mod=hp_lead_pos1\">Wall Street Journal<\/a>, <a href=\"https:\/\/www.ft.com\/content\/c33c9577-0faf-424d-919e-68bda2052867\">Financial Times<\/a>, <a href=\"https:\/\/www.bloomberg.com\/news\/articles\/2021-04-07\/dimon-says-fintech-and-big-tech-are-here-as-banks-lose-ground?srnd=premium-middle-east\">Bloomberg<\/a> and <a href=\"https:\/\/www.cnbc.com\/2021\/04\/07\/jamie-dimon-says-economic-boom-fueled-by-deficit-spending-vaccines-could-easily-run-into-2023.html\">CNBC<\/a>. The company\u2019s sale of 49% of its shares in its EGX debut \u2014 under the ticker TALM \u2014 marks <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/efe90c27-9d82-4363-b78d-b70a052f2cd7\">the first real IPO<\/a> on the EGX since 2019. The offering saw 46.55% of the company\u2019s shares placed with institutional investors in a private placement and another 2.45% stake sold to retail investors, according to <a href=\"https:\/\/ent.news\/2021\/4\/Announcement-Press-Release-EN.pdf\">an EGX statement (pdf)<\/a>.<\/p>\n<p><strong>Appetite was strong going in:<\/strong> The retail portion of Taaleem\u2019s IPO closed <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9b4f4fd0-2ce2-44d7-9de4-e0cb71aabbba\">more than 29x<\/a><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/9b4f4fd0-2ce2-44d7-9de4-e0cb71aabbba\">oversubscribed<\/a> last week, while the offering to institutional orders was <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/5e5a1a2a-08df-4a8e-a3ce-f857a11f002a\">2.34x oversubscribed<\/a>.<\/p>\n<p><strong>Some 65% of the private placement shares were placed with international institutions<\/strong> from the GCC, the United States, South Africa and the United Kingdom, Hisham Gohar, CEO for the investment bank at CI Capital, said at the opening bell this morning. The funds will be used to finance the construction of new universities and wrap up work on the company\u2019s current projects. Would-be shareholders will have until next Thursday, 15 April to get their requests in, the company said.<\/p>\n<p><strong>The group is offering up to 45.8% \u2014 or some 264.5 mn shares \u2014 in a secondary sale. <\/strong>The sale includes offerings to institutional investors locally and abroad, as well as the retail offering for Egypt only.<\/p>\n<p><strong>The shares have been priced between EGP 5.30-6.15 apiece<\/strong>, with the final share price set to be determined by Monday, 12 April \u2014 three days before the bookbuilding period wraps. The indicative price range values the company, pre-offering, at between EGP 3.1 bn and EGP 3.6 bn.<\/p>\n<p><strong>Trading on shares is scheduled to begin on 19 April<\/strong> under ticker symbol MCRO.CA.<\/p>\n<p><strong>Background:<\/strong> The company, established in 2005, has a market share of just over 23%, or about 3x its closest competitor, with some 124 cosmeceutical products and one neutraceutical; it has nearly 80 additional products ready to roll out in 1H2021. The Financial Regulatory Authority <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/f05c21e8-cfa0-4ffa-a016-e59cca9ba55a\">wants more of it<\/a>, but it\u2019s also trying to manage risk in the system <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/509c136b-b9d7-44ea-b407-e4390b8ce918\">with a new set of restrictions<\/a>. But what is it, exactly? And what could current proposals mean for the EGX?<\/p>\n<p><strong>Margin = borrowing:<\/strong> Margin is just a fancy way of saying debt or leverage \u2014 specifically, debt owed by traders to their brokers. When market players refer to \u2018margin,\u2019 they mean the practice of investors borrowing from their broker to finance trades. Margin trading is exactly what you think it is: buying and selling securities using borrowed money. And when a broker lends to an investor, this is referred to as \u2014 you guessed it \u2014 margin lending.<\/p>\n<p><strong>Margin trades are done through dedicated margin accounts held with the broker.<\/strong> Money lent out to traders is collateralized by money held in the account and securities purchased with the borrowed funds. Brokerages require investors to have a minimum value of assets held in their accounts and will charge interest on the margin.<\/p>\n<p><strong>Falling below this minimum triggers what is called a margin call.<\/strong> Brokers will demand that an investor deposit more money into the account or offload some stock should its value fall below the required threshold. This is what\u2019s known as a margin call.<\/p>\n<p><strong>Margin calls typically tend to exacerbate sell-offs in the stock market:<\/strong> A broad-based decline in the value of a stock market can force brokerages to trigger margin calls enmasse should accounts fall below the minimum threshold. This tends to prolong the volatility as investors are forced to sell shares in order to top up their accounts.<\/p>\n<p><strong>This happened on the EGX last month<\/strong> when <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0d7613c8-7661-4801-b57e-9e3bae887bb7\">a series of margin calls magnified the scale<\/a> of a sell-off.<\/p>\n<p><strong>Margin can potentially generate total higher returns<\/strong>, allowing the investor to increase leverage and invest in a greater quantity of assets.<\/p>\n<p><strong>And it\u2019s a must for short-selling:<\/strong> Shorting stock requires investors to borrow shares from a broker, meaning that they have to have a margin account before they can make returns from a declining share price.<\/p>\n<p><strong>But it also amplifies risk:<\/strong> In the same way that leverage can amplify returns, it can greatly increase losses if you\u2019re caught on the wrong side of a trade.<\/p>\n<p><strong>Then there\u2019s the risk of failing to meet a margin call<\/strong>, which is never a good position to be in.<\/p>\n<p>If the investor\u2019s account falls below the minimum equity required and they fail to pay up, the broker could sell off the investor\u2019s securities to stop losses.<\/p>\n<p><strong>You only need to look at the ongoing Archegos meltdown to understand the risks of <\/strong><strong>over-leveraging: <\/strong>The family-run US hedge fund took out bns-worth of loans to finance huge equity purchases with very little asset backing. When <a href=\"https:\/\/www.cnbc.com\/2021\/03\/29\/the-archegos-blowup-and-its-ripple-effect-across-markets.html\">it started making losses<\/a> on some companies it was highly exposed to, its brokers rushed to sell on its behalf, exiting positions worth USD 20 bn and resulting in a massive margin call that wiped off bns from the market cap of prominent names. Archegos was estimated to have held positions of over USD 50 bn, while having only USD 10 bn in assets, and had <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/31075772-f30b-4304-948c-a2e478d26365\">relied dangerously<\/a> on borrowing from banks.<\/p>\n<p><strong>The FRA wants more margin lending:<\/strong> The thinking goes that more margin = more liquidity on the EGX. Allowing investors to leverage up their positions should mean more trading activity and more market participants. This is why the central bank is <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/f05c21e8-cfa0-4ffa-a016-e59cca9ba55a\">injecting EGP 1 bn into brokerages<\/a>, why the FRA is now allowing <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/0f906e72-0324-42d5-a44d-b6115abaf550\">fund managers to trade using margin<\/a>, and why it agreed to allow <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/c677777d-8336-466e-a0d4-4b6343b426f7\">non-bank lenders to get involved in margin lending<\/a>.<\/p>\n<p><strong>But risk management is a thing, too: <\/strong>An FRA\u2019s advisory committee yesterday suggested a number of new margin restrictions, though a final decision by the authority is still to be made. They would place limits on concentration risk and measures designed to avoid a market crash thanks to back-to-back margin calls, <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/509c136b-b9d7-44ea-b407-e4390b8ce918\">as we explained this morning.<\/a><\/p>\n<p><strong>GO DEEPER-<\/strong><\/p>\n<ul>\n<li><strong>The
