Not us. And we definitely haven\u2019t started a countdown until the last <\/strong><strong>day of school <\/strong>\u2014 in December \u2014 in the hope that we\u2019ll be able to board a plane that day for our first vacation outside our borders in nearly two years. Nope. Not us. No, ma\u2019am. But if we <em>were<\/em> longing to travel, we\u2019d probably enjoy <a href=\"https:\/\/www.economist.com\/special-report\/2021\/02\/11\/what-will-travel-look-like-after-the-pandemic\">reading this package from the Economist on the future of travel<\/a>, dubbed \u201cReturn of the Wanderer,\u201d wherein we learn that covid-19 could <a href=\"https:\/\/www.economist.com\/special-report\/2021\/02\/11\/could-covid-19-shake-up-air-travel-for-the-better\">shake up air travel for the better<\/a>, that <a href=\"https:\/\/www.economist.com\/special-report\/2021\/02\/11\/business-travel-may-never-fully-recover-from-covid-19\">business travel may never fully recover<\/a> \u2014 but that <a href=\"https:\/\/www.economist.com\/special-report\/2021\/02\/11\/tourism-will-rebound-after-the-pandemic\">tourism will<\/a> (please, God), and that the industry is going to be <a href=\"https:\/\/www.economist.com\/special-report\/2021\/02\/11\/travel-will-return-more-exotically-than-ever\">more exotic than ever<\/a>.<\/p>\n<p><strong>A word of advice: Be ready for the unleashing of pent-up demand. <\/strong>Thom Hogan, one of our <a href=\"https:\/\/www.bythom.com\/newsviews\/upcoming-bythom-events.html\">favourite photo bloggers<\/a> is leading his next safari \/ workshop in 2022 and warns \u201cif you're really interested in international travel in the 2022-2023 time frame, you're going to have to consider taking a risk and booking now. Once the floodgates of travel re-open, all the postponed tours are going to be sitting there eating up much of the availability, and I expect demand will exceed supply in many places.\u201d <strong>The catch? Deposits are likely going to be non-refundable<\/strong>, so you\u2019re going to want to buy travel ins. given the times in which we\u2019re now living. (Hogan is particularly worthwhile reading if you\u2019re at that peculiar intersection of business dweeb, photography nerd and gearhead \u2014 ie: kinda like us.)<\/p>\n<p><strong>But hey, not traveling? healthcare sector appears to be a bidding war <\/strong><strong>brewing for Alexandria Medical Services.<\/strong> Tawasol Holdings is looking to get full ownership of Alexandria Medical Services by snapping up the 74.08% stake it doesn't already own, according to <a href=\"https:\/\/bit.ly\/3u9tgHK\">a bourse filing (pdf)<\/a> by Alex Medical. Tawasol, which currently holds a 25.92% stake, is apparently a buyer at EGP 38.09 per share.<\/p>\n<p><strong>Abu Dhabi Commercial Bank\u2019s (ADCB), which has a 51.5% stake in Alex Medical, had <\/strong><strong>also <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/2f677a9d-e35c-49ee-89a3-2aba218f6d67\">received an offer<\/a><\/strong><strong> from a consortium<\/strong> made up of Mabaret Al Asafra Hospitals and Africa-focused investment firm Tana Africa Capital to acquire its full stake in the company. Separately, Egyptian-British entrepreneur Tamer Abdullah was reported <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/7f825fa6-69bd-4ad4-89ae-87f6e81665e8\">in December<\/a> to be looking to increase his 9.8% stake in Alex Medical. It\u2019s unclear whether Abdullah is connected with Tawasol Holdings.<\/p>\n<p><strong>Speaking of which, Speed Medical (SPMD) has pretty much confirmed today that it is <\/strong><strong><a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/7aeea8d0-862c-444b-83e8-37da4c6b8313\">seeking an ownership stake<\/a><\/strong><strong> in Prime Speed <\/strong>in <a href=\"https:\/\/ent.news\/2021\/2\/257744_1.pdf\">a bourse disclosure (pdf)<\/a> that outlines its stakes in Prime Speed\u2019s subsidiary <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/3a397d67-63bb-4188-808d-0dd8a8ef8c4a\">Misr Laboratories<\/a>. SPMD noted that its potential acquisition of \u201ca majority stake\u201d in Prime Speed, would give it an effective ownership stake of 60% in Misr Labs, implying that it is seeking full control of Prime Speed. Zaki Hashem and Partners were chosen to act as legal advisor on the transaction.<\/p>\n<p>Meanwhile, Hikma Pharma has appointed <strong>EFG Hermes<\/strong> as its <strong>financial advisor<\/strong> and <strong>Sharkawy <\/strong><strong>& Sarhan<\/strong> as <strong>counsel<\/strong> ahead of its potential acquisition of GlaxoSmithKline\u2019s Egypt assets, <a href=\"https:\/\/bit.ly\/3bc0wFH\">Hapi Journal<\/a> reported this morning. The LSE-listed company last month <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/63329f34-ef75-4d4f-896a-fee755357ece\">signed a non-binding agreement<\/a> with GSK to enter into talks to acquire a 91.2% stake in its pharma and manufacturing business in Egypt. <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/ff646872-fe4d-42cb-9c86-ab3420e60774\">GSK rejected<\/a> rival bids by Rameda Pharma and Acdima last week.<\/p>\n<p><strong>IN OTHER M&A NEWS-<\/strong><\/p>\n<p><strong>Ezdehar is still looking to exit two high-growth companies in 2021 <\/strong>as it inches closer to the launch of its new USD 200 mn fund, the fund\u2019s managing director Emad Barsoum told <a href=\"https:\/\/alborsaanews.com\/2021\/02\/17\/1419261\">the local press<\/a>. The unnamed companies Ezdehar will be offloading in the coming year are delivering annual top line growth of 30-40% each year, Barsoum said. As a private equity player, Ezdehar typically has a 3-5 year holding period for its investments.<\/p>\n<p><strong>Background:<\/strong> Ezdehar <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/7ea614e2-e930-4ec5-9253-854b3616a446\">said last October<\/a> it was moving toward exits from three investments and went on to sell its full 22.5% stake in loyalty services provider Dsquares to <a href=\"https:\/\/enterprise.news\/egypt\/en\/news\/story\/664a5c28-a18e-4f15-a95f-0774b7fc08a5\">Lorax Capital Partners<\/a>. Prime suggested OIH had 8% to run and OFH would contract 3%, with Head of Research Amr El Alfy suggesting that \u201cwe believe [OFH] is where all the action will be, starting with a clean slate and zero leverage. <strong>OFH will likely go on an acquisition spree within the NBFS space<\/strong>, potentially raising capital through debt or equity.\u201d OIH, on the other hand, is more of a play on how the Koryolink story will unfold, with Pharos\u2019 Bassma Bakry saying that a resolution on the status of the North Korean mobile operator could be the \u201csaviour\u201d of the share.<\/p>\n<p><strong>EARNINGS WATCH- There are no surprises as FY2020 earnings season continues: <\/strong>Healthcare had a reasonably good year, and banks saw pressure on their bottom lines thanks to covid-19, interest rate cuts and the central bank\u2019s debt-relief measures.<\/p>\n<p>First up, <strong>Cleopatra Hospital is set to report revenue growth of around 20% y-o-y in <\/strong><strong>4Q2020<\/strong> and a full-year revenue growth of 10% y-o-y in FY2020, Cleopatra said in a <a href=\"https:\/\/ent.news\/2021\/2\/Cleo-4Q2020-Trading-Update-E-vF.pdf\">trading update (pdf)<\/a> ahead of the release of its audited financial results. Versions of the practice were also common in ancient Rome and medieval Europe, and the concept was carried into modern cultures by religions such as Christianity and Judaism, which encourage taking stock of the previous year and making amends moving forward. The religious or spiritual facet of the practice is less prominent, and instead resolutions more typically focus on the self.<\/p>\n<p><strong>The self-improvement ideology is no longer contained to New Year\u2019s<\/strong>, instead seeping into our day-to-day doctrine through social media advertising and influencers who push on consumers the idea that they can become a better version of themselves \u2014 if only they tried harder. By focusing on the self, there appears to always be room for tweaking and improvement, and the normal periods of fatigue and failure are seen as a problem that must be \u201cfixed\u201d quickly, writes <a href=\"https:\/\/www.thecut.com\/2021\/01\/self-improvement-is-over.html\">the Cut<\/a>.<\/p>\n<p><strong>So how <\/strong><em>should <\/em><strong>you improve this year? <\/strong>A change in habits or even lifestyle is far from impossible, but the impetus must be genuine personal desire, as opposed to an arbitrary date on the calendar or getting your money\u2019s worth from a product. With the rollout of the Pfizer \/ BioNTech and Moderna jobs over the past month or so, the vaccines have been generating a lot of buzz, not only for potentially helping to save human civilization, but for their experimental technology. To answer what an mRNA vaccine actually is, we need to go back to basics.<\/p>\n<p><strong>What, exactly, is a virus? To understand the vaccine, you need to get two basic things <\/strong><strong>about how a virus is structured. <\/strong>In general, it has a genome (genetic material consists either of DNA or RNA) and a shell that surrounds it. The shell (a protein layer known as a capsid and in some an outer layer called an envelope) both protects the genome and helps the virus attach itself to and invade cells. Once inside, the genetic material is released, allowing the virus to effectively take over the cell and use it machinery to replicate itself.<\/p>\n<p>(<strong>One note:<\/strong> This is a slightly rudimentary explanation of how a virus actually operates, since viruses come in different shapes, sizes and types. <a href=\"https:\/\/www.scientificamerican.com\/article\/what-is-a-prion-specifica\/\">And don\u2019t even get us started on prions<\/a>.)<\/p>\n<p><strong>How did vaccines work in pre-covid times?<\/strong> Back before mRNA jabs were a thing, vaccines were generally composed either of weakened (or \u201cattenuated\u201d) versions of a virus or a part of its outermost shell, the goal being to teach the immune system what the virus looks like, enabling it to produce the correct antibodies to fight the infection.<\/p>\n<p><strong>Introducing mRNA:<\/strong> mRNA is a single-stranded set of directions that tells a cell\u2019s machinery how to build one specific thing. In humans our genes are encoded in double-stranded DNA \u2014 think of it like a coiled up book of blueprints that tell your cells how to make any protein that your body may need. It does that by using en enzyme to translate a specific stretch of DNA into a strand of mRNA, which forms a literal blueprint for how to make one specific protein.<\/p>\n<p><strong>That\u2019s where BioNTech and Modern come in: <\/strong>Rather than putting the entire virus inside the body, Pfizer, BioNTech and Moderna have engineered a stretch of mRNA used by the coronavirus to make a harmless (but really important and unique) \u201cspike\u201d protein. The mRNA is treated so that your body doesn\u2019t destroy it once it\u2019s injected into you (it\u2019s coated in an envelope of fat, effectively) \u2014 and so that passing immune cells suck it up and start cranking out the spike protein, which triggers your body\u2019s immune response. As the immune system gets to work, you ultimately wind up with two different types of \u201cmemory\u201d cells that know how to recognize and start a response to the coronavirus and its \u201cspike\u201d protein if you\u2019re challenged with the virus for real.<\/p>\n<p><strong>mRNA vaccines haven\u2019t appeared out of the blue:<\/strong> Scientists have been studying the technology for the past 30 years. The main problem has been finding a way to keep the mRNA stable after it has entered the body. And given that this is the first time these kind of vaccines have been deployed, there are also questions about how long they will keep people immune.<\/p>\n<p><strong>What about the AstraZeneca vaccine?<\/strong> The inoculation developed by AstraZeneca and Oxford University is also a type of gene-based vaccine, but instead uses DNA carried by a version of the common cold virus to trick our cells into producing the mRNA. The adenovirus has previously been used to create vaccines against ebola, and advanced trials are underway to test it against HIV and Zika.<\/p>\n<p><strong>Why do mRNA vaccines have to stay super cold?<\/strong> Single-stranded mRNA is super unstable by nature, so the Pfizer \/ BioNTech and Moderna vaccines need to be stored at -70\u00b0C. Ahmed Samir said yesterday his House Economics Committee had given preliminary approval to amendments to the Competition Act (law 3\/2005) that would give the ECA the power to reject mergers and acquisitions, <a href=\"https:\/\/bit.ly\/37kXNIW\">Youm7<\/a> reports. The amendments would require companies to notify the ECA that they plan to merge or undertake an acquisition and would give ECA the power to approve or reject the transaction.<\/p>\n<p><strong>Samir said the amendments could also change the definition of \u201ceconomic <\/strong><strong>concentration,\u201d<\/strong> a key principle in evaluating the potential market impact of a transaction.<\/p>\n<p><strong>How it works today:<\/strong> The ECA can raise red flags, but only after a transaction is concluded. Successive antitrust bosses have sought the power to approve or reject M&As.<\/p>\n<p><strong>As always, the devil is in the details. <\/strong>US law, for example, gives the Federal Trade Commission and the Justice Department <a href=\"https:\/\/www.ftc.gov\/news-events\/media-resources\/mergers-and-competition\/merger-review\">the right to review any merger worth at more than USD 94 mn<\/a>. Companies need to report transactions over that threshold, and most get the green light after a preliminary review of 30 days or less. But US law provides clear avenues for appeal \u2014 and the bureaucracy is run by staff with deep expertise in the topic. Remedies for businesses that run afoul of the Justice Department or FTC are also clear: The investigating body can move into settlement talks to find a way forward, or take action in federal district court to block the transaction.<\/p>\n<p><strong>What\u2019s more, there needs to be an agreement on the bad corporate behaviour we\u2019re <\/strong><strong>trying to prevent. Is it the unfair quashing of <\/strong><strong>competitors? Or the fleecing of customers? <\/strong>US antitrust law, thanks to Robert Bork, <a href=\"https:\/\/repository.law.umich.edu\/cgi\/viewcontent.cgi?article=2549&context=articles#:~:text=Of%20all%20Robert%20Bork's%2520many,objective%2520of%2520U.S.%2520antitrust%2520law.%26text%3DSonotone%2520that%2520%25E2%2580%259CCongress%2520designed%2520the,as%2520a%2520'consumer%2520welfare%2520prescription.\">defines antitrust law largely in terms of consumer welfare<\/a> \u2014 which is entirely different from whether fair competition for another corporation is being stifled. Amazon, for example, does plenty of things that critics argue exploit is market position to stifle other companies (including using its trove of data to figure out what\u2019s selling well, then have it made by a contract manufacturer and undercutting an established brand. Those same practices aren\u2019t generally seen as narrowly anti-consumer, because it results in lower shelf prices. Dive deeper with <a href=\"https:\/\/www.yalelawjournal.org\/article\/amazons-antitrust-paradox\">Lina Khan\u2019s seminal Amazon's Antitrust Paradox in the Yale Law Journal<\/a> or read \/ listen to her interview with <a href=\"https:\/\/www.theverge.com\/2019\/2\/5\/18212213\/amazons-facebook-break-up-antitrust-paradox-lina-kahn-vergecast\">The Verge\u2019s Nilay Patel<\/a> (himself a journalist turned lawyer).<\/p>\n<p><strong>The keys to making this work here in Egypt? <\/strong>The business community will want some reassurance that the head of the ECA is both pro-free market and pro-consumer \u2014 and that speedy remedies will be available in the event the ECA takes issue with a transaction and the parties to it want to mount an appeal.<\/p>\n<p><strong>In this respect, committee-level approval of the amendments is just the first step. <\/strong>What this ultimately means to a business community increasingly enamored of growing through acquisition won\u2019t be clear until the executive regulations are handed down, until we agree on what we\u2019re trying to prevent (companies being quashed \u2014 or consumers being harmed) \u2014 and until we know who will be interpreting them.<\/p>\n<p><strong>Want to dive deeper?
