Why is Sembcorp selling? It wants to divest from that unit\u2019s fossil fuel assets and hit its emission targets. The portfolio includes coal-fired power plants alongside a good-sized portfolio of renewables. We have more in this morning\u2019s M&A Watch, below.<\/p>\n<p><a class=\"content-anchor\" id=\"tldr-story-02\"><\/a> <strong>WATCH THIS SPACE- Possibly a win for climate: Egypt could sign contracts <\/strong><strong>next <\/strong><strong>month that would see the birth of a domestic EV assembly industry.<\/strong> Egyptian state-owned automaker El Nasr Automotive is reportedly expecting to sign final contracts for local electric vehicle (EV) assembly next month, if the <a href=\"https:\/\/bit.ly\/3AUhS77\">Egyptian press<\/a> is to be believed. Reports suggest El Nasr will sign the contracts with an unnamed Chinese company in mid-October. The Madbouly government has been tight-lipped about the identity of the company, but a source <a href=\"https:\/\/enterprise.press\/stories\/2022\/06\/14\/el-nasr-to-sign-contracts-next-month-with-chinas-baic-group-to-jointly-manufacture-evs-in-egypt-73631\/\">told Enterprise<\/a> in June that El Nasr looked like it was going with <a href=\"https:\/\/www.baicintl.com\/\">BAIC Group<\/a>.<\/p>\n<p><strong>Talks to get EV assembly in Egypt off the ground have been ongoing for years. <\/strong>El Nasr danced with auto giant Dongfeng back <a href=\"https:\/\/enterprise.press\/stories\/2019\/07\/04\/egypt-in-talks-with-a-number-of-automotive-companies-for-local-assembly\/\">in 2019<\/a> only to <a href=\"https:\/\/enterprise.press\/stories\/2021\/11\/11\/tonight-traders-give-thumbs-up-to-new-egx-tax-cuts-el-sisi-in-paris-for-libya-conference-our-ev-assembly-plans-with-dongfeng-just-hit-a-wall-58001\/\">pull out more than two years later<\/a> apparently because the two sides were unable to agree on prices for imported components.<\/p>\n<p><strong>Want to read more? Liz Truss, who was elected yesterday to lead the Conservative Party and replace Boris Johnson as UK PM, will likely give the go-ahead to 130 new drilling projects in the North Sea, according to reports compiled by the Guardian. Truss\u2019 advisors have also been in talks with oil and gas firms to discuss ways to secure energy supplies ahead of the winter season, <a href=\"https:\/\/www.thetimes.co.uk\/article\/your-three-minute-digest-wkw2nnsv9\">the Times writes<\/a>.<\/p>\n<p><strong>Solar may not be her favo(u)rite:<\/strong> Truss also seems to hold a bit of a grudge against solar energy, repeatedly bashing the renewable energy source on the campaign trail last month. In party hustings events, she trivialized solar farms as \u201cparaphernalia\u201d and suggested that her government could make it harder for energy producers to obtain land for new plants.\u201cOur fields, should be full of our fantastic produce \u2026 it shouldn\u2019t be full of solar panels,\u201d she <a href=\"https:\/\/www.solarpowerportal.co.uk\/news\/solar_energy_uk_deeply_concerned_as_truss_and_sunak_hit_out_at_land_use_for\">told<\/a> a campaign event.<\/p>\n<p><strong>On the other side of the channel, the German government will enforce a windfall tax on <\/strong><strong>electricity-producing companies in a bid to fund a EUR 65 bn<\/strong> relief package against inflation and surging energy prices, <a href=\"https:\/\/www.dw.com\/en\/germanys-government-agrees-on-65-billion-relief-package-amid-soaring-energy-prices\/a-63013937\">Deutsche Welle reports<\/a>, referencing a speech by German Chancellor Olaf Scholz.<\/p>\n<p><strong>What does this have to do with climate? <\/strong>The tax is expected to squeeze the bottom lines of companies that generate energy from wind, solar, biomass, coal and nuclear energy, which have seen their electricity prices rise as Europe suffers an energy crunch, <a href=\"https:\/\/www.ft.com\/content\/bb58922d-2a40-4aa8-8844-9295c831fc22\">the Financial Times<\/a> wrote, referencing the Chancellor\u2019s remarks. The logic behind the tax is to provide German households with an ample amount of electricity at reduced prices, Scholz said. The consortium, led by Omani private equity player <a href=\"https:\/\/oic.om\/\">Oman Investment Corporation<\/a> (OIC), has signed an agreement to buy <a href=\"https:\/\/www.sembcorpenergyindia.com\/Home\/Index\">Sembcorp Energy India Limited\u2019s<\/a> (SEIL) for USD 1.47 bn, Sembcorp said in <a href=\"https:\/\/ent.news\/2022\/9\/5742.pdf\">a filing (pdf)<\/a> to the Singapore stock exchange yesterday, handing it almost 5 GW of power generation capacity.<\/p>\n<p><strong>Sembcorp Energy India is one of India\u2019s largest independent power producers<\/strong> and has a 4.9 GW portfolio of producing and under-construction assets \u2014 the bulk of which is powered by fossil fuels. That includes 2.64 GW from two coal-fired power stations.<\/p>\n<p><strong>\u2026but it\u2019s also a relatively significant player in renewables: <\/strong>The company owns around 1.73 GW from wind and solar assets. Another 400 MW of solar capacity is under construction.<\/p>\n<p><strong>The buyers:<\/strong> The OIC is joining up with the Omani Defense Ministry\u2019s pension fund and a company owned by the head of Oman\u2019s Capital Market Authority to purchase the company via a special-purpose fund named Tanweer Infrastructure. OIC holds a 70% indirect stake in the company, the pension fund owns 20% and Dar Investment 10%.<\/p>\n<p><strong>The transaction could close sometime in mid-2023: <\/strong>The sale is expected to close six months after shareholders meet in November and is subject to regulatory and shareholder approvals, the company said in <a href=\"https:\/\/www.sembcorp.com\/en\/media\/media-releases\/energy\/2022\/september\/sembcorp-industries-announces-sale-of-sembcorp-energy-india-limited-seil\/\">a separate statement<\/a>.<\/p>\n<p><strong>Why the sale? Sembcorp wants to go from brown to green:<\/strong> Sembcorp expects the sale to reduce emissions intensity by 37%, enabling it to reach its 2025 target early. Selling the coal assets will increase renewables\u2019 share of its energy mix to 51% from 43% currently, it said.<\/p>\n<p><strong>OIC and Sembcorp aren\u2019t strangers:<\/strong> The two companies <a href=\"https:\/\/www.sembcorp.com\/en\/media\/media-releases\/energy\/2009\/november\/sembcorp-signs-contract-for-us-1-billion-salalah-independent-water-and-power-project-in-oman-1\/\">set up a joint venture firm<\/a> to construct the USD 1 bn <a href=\"https:\/\/www.sembcorpsalalah.com.om\/\">Salalah water and power plant<\/a> in Oman in 2009, in which Sembcorp held a 60% stake. USD 1.5 bn) public private partnership (PPP) contract with a consortium led by UAE-based water management company <a href=\"https:\/\/www.metito.com\/about-metito\/\">Metito Utilities<\/a> to build a sewage treatment plant near Mesaieed industrial city, <a href=\"https:\/\/www.ashghal.gov.qa\/en\/MediaHub\/News\/Pages\/Ashghal-Signs-Contract-of-Al-Wakrah-and-Al-Wukair-STW-via-Public-Private-Partnership.aspx#.YxZL6nZBzIU\">Ashghal said in a statement<\/a> on Sunday. This is the first <a href=\"https:\/\/www.lawinsider.com\/dictionary\/drainage-infrastructure#:~:text=Drainage%20Infrastructure%20means%20the%20property,ponds%2C%20retention%20ponds%2C%20ditches%2C\">drainage infrastructure<\/a> project in Qatar to be implemented under a PPP framework.<\/p>\n<p><strong>In detail:<\/strong> The sewage treatment plant is expected to begin operating in 2026 and will serve over 306k people in its first phase, the statement notes. The consortium, which includes Qatar\u2019s <a href=\"https:\/\/www.alattiyamotors.com\/en\/home\">Al Attiya Motors and Trading Company<\/a> and Kuwait\u2019s <a href=\"https:\/\/www.gic.com.kw\/\">Gulf Investment Corporation<\/a>, will build the project under a build, operate and transfer (BOT) framework, according to <a href=\"https:\/\/metenders.com\/project_cms\/project\/sewage-treatment-plant-project-al-wakra-al-wukair\">a tender<\/a> issued before the contract was awarded. There\u2019s a 25-year water purchase agreement in place, and Ashghal will take over operation and maintenance of the plant after that period.<\/p>\n<p><strong>The plant\u2019s <\/strong><strong>150k cubic meter per day (cm\/d) capacity could be just the beginning: <\/strong>The plant is expected to expand to accommodate anticipated future need, with planned capacity of up to 600k cm\/d by 2045, Ashghal\u2019s head of treatment plants Abdulrahman Al Sulaiti is quoted as saying.<\/p>\n<p><strong>It\u2019s all part of leveraging local and international investment to build Qatar\u2019s private <\/strong><strong>sector<\/strong>, Ashghal president Saad Al Muhannadi is quoted in the statement as saying. When it comes to companies\u2019 environmental priorities alone, only 27% of respondents mentioned water scarcity and 16% listed biodiversity, though these factor heavily in national environmental policy frameworks.<\/p>\n<p><strong>MENA companies also named challenges in rolling out effective ESG strategies: <\/strong>Among the biggest challenges cited by survey respondents were workforce\/culture issues (which 45% of respondents reported), covid-19 (36%), the lack of a well-defined company ESG strategy and the lack of effective ROI measurement (both of which were reported by 31%). Other challenges include a lack of shareholder demand for ESG policies, lack of leadership buy-in and regional economic uncertainty.<\/p>\n<p><strong>Businesses say they want to take more action on ESG, but need more government <\/strong><strong>support:<\/strong> Some 86% of large companies surveyed said more regulation would accelerate the implementation of their ESG strategies. Having the right signals, policies and regulations from governments would prompt more action from businesses to help achieve national ESG commitments, the survey found.<\/p>\n<p><strong>Particularly for environmental issues: <\/strong>Some 54% of survey respondents said they would welcome policies targeting sustainable procurement to spur environmentally-friendly production. Companies also want detailed policies and implementation plans for national net-zero plans \u2014 including energy efficiency, renewable energy investment, measuring carbon emissions, and water conservation.<\/p>\n<p><strong>There are, however, some positives: <\/strong>Waste and climate change top the environmental priorities for regional businesses, the report tells us. Looking ahead to the next 12 months, 54% of all surveyed companies plan to focus on waste, 54% on climate change, 42% on air pollution, 27% on water, 16% on biodiversity, and 15% on other unnamed topics. Only 4% of the firms surveyed had no plans to focus on any environmental issues within 12 months.<\/p>\n<p><strong>Sustainability is also becoming more important as a factor in consumer purchasing <\/strong><strong>decisions<\/strong>, according to PwC\u2019s most recent <a href=\"https:\/\/www.pwc.com\/m1\/en\/publications\/global-consumer-insights-survey-2022-middle-east-findings.html\">Global Consumer Index Survey<\/a>. Some 53% of regional respondents say they always or frequently buy eco-friendly or sustainable products, compared to a global average of 42%.<\/p>\n<p><strong>Companies focused on sustainability will have the edge over competitors in attracting <\/strong><strong>eco-conscious buyers, <\/strong>the report notes.<\/p>\n<p><strong>Who took part: <\/strong>Participants included executives from businesses headquartered in nine MENA countries as well as the US, France, Greece and Germany. Over 70% of respondents were C-suite level execs at MENA-headquartered companies, with 50% of all surveyed companies large (over USD 100 mn in annual revenue) and 50% small (less than USD 100 mn).
